The company said yesterday that the technical mechanics of the share swap, along with the final trading day for the shares, will be published separately. A date for the register filing is likewise still pending. That single administrative act carries outsized weight: on the day it lands, the entire assets of Biogena Group Invest AG transfer to Biogena Good Vibes AG, and the former entity ceases to exist. For the capital market, it amounts to an orderly exit of a shell in favour of a merged structure.
Terms Locked In Since Monday
Shareholders of both companies approved the plans on Monday without a single dissenting vote. The conversion ratio has been fixed ever since: each existing Biogena Group Invest share converts into 0.879197 shares of Biogena Good Vibes AG. Any fractional entitlements thrown up by that figure are settled in cash at EUR 4.99 per exchanged share.
To make the swap work on a technical level, Good Vibes AG approved an increase in its share capital of up to EUR 3.5 million, lifting it to a maximum of EUR 100.86 million. The ratio itself reads as a workable compromise — it avoids excessive dilution for existing shareholders of the operating unit while giving Group Invest investors a seamless stake in the combined company's future. Rather than holding a pure holding structure, they will own a piece of the operating business directly, which could lift the stock's appeal over the medium term by removing the valuation discount that typically clings to pure investment vehicles.

A Market Capitalisation Mismatch
The scale gap between the two entities explains much of the logic behind the deal. Biogena Group Invest carried a market value of EUR 20.55 million as of yesterday, when the shares closed at EUR 5.25. That closing print caps a gain of 78 percent since the start of the year. Biogena Good Vibes AG, by contrast, debuted on the Vienna Stock Exchange's direct market plus just over three weeks ago. Its listing followed a capital increase that brought in close to EUR 18 million in fresh funds and added more than 2,300 new investors to the register. At the start of trading, its market capitalisation stood at EUR 484.8 million.
Bringing the two tickers together concentrates liquidity and ends the side-by-side listing of two securities belonging to the same corporate family. Management of Good Vibes AG is reported to be targeting EUR 500 million in revenue by 2030 — an ambition far easier to present credibly to the capital market through a single, focused listing.
Founder Control and a Thin Free Float
None of that erases the risks. Founder Schmidbauer retains more than 87 percent of the company, leaving him firmly in control. At the time of the stock market debut, the free float stood at only around 18 percent, and the issuance of new shares through the merger will change that picture only gradually. The thin trading volume on the direct market plus remains a hurdle that could keep institutional investors on the sidelines for now. Anyone buying in places their capital in the hands of a dominant majority owner and has to trust that owner's strategic vision.
Even so, the balance tilts toward the opportunities. The dissolution of Biogena Group Invest AG clears away administrative duplication and ends the fragmentation of trading in the group's shares. For current owners, the swap means direct exposure to the value creation of the operating brand. The Group Invest chapter is closing in orderly fashion — and for long-term investors, the real stock market story begins with Good Vibes AG.
