BayWa Sets December 2026 Accounts Date as Hybrid Bond Vote Gets Underway

BayWa AG has pinned down when investors will finally see audited figures again. Germany's agricultural trading and services group confirmed it will publish both its annual report and consolidated annual financial statements for fiscal 2025 on December 22, 2026, with the half-year and second-quarter report for 2026 to follow on February 26, 2027.
The dates, disclosed through mandatory notifications, hand creditors and shareholders a fixed timeline after a stretch of postponements — and they land in the middle of a restructuring that is still being stitched together piece by piece.
Creditors Nearly All Aboard
At the heart of that effort sits a term sheet for a revised restructuring agreement, hammered out roughly a week ago. It carries the backing of 267 of the 268 financing partners and both major shareholders. Because one partner has yet to sign off, the deal is not formally sealed.
A key component of the package is the planned overhaul of the company's hybrid bond. In connection with that step, BayWa posted documents for a vote without a meeting on the Kronos hybrid bond in the download center of its investor relations section — the formal mechanism for implementing the restructuring requirements and reshaping the agricultural and services group's capital structure for changed conditions.

Solar Sale and a Revamped Auction Platform
Day-to-day operations have not stood still while the finances are reworked. Subsidiary BayWa r.e. sold the "Gresselgrund" solar project, a 22 MWp installation in Maroldsweisach, to iAccess Energy — a transaction that underscores the ongoing monetization of project assets in the renewables segment to shore up the group.
Alongside AGRAVIS Raiffeisen AG, BayWa also modernized their jointly run agricultural machinery auction platform, ab-auction.com. The partners unveiled the new version of the digital marketplace at the Landwirtschaftliches Hauptfest in Stuttgart. According to AGRAVIS, the system counts around 35,000 registered users worldwide.
A Clear Line to the Hardware Stores
For market participants, one distinction remains essential: BayWa Bau- & Gartenmärkte GmbH & Co. KG is not a subsidiary of the listed BayWa AG. The company sold its hardware store business back in 2011/12 to the owner of the Hellweg group, Semer Beteiligungsgesellschaft. The transfer of operations took effect in January 2012, and Hellweg is an independent family business owned by the Semer family. Any branch closures or store sales at that chain are therefore not actions taken by BayWa AG.

With certified financial metrics from regular statements still scarce until the publication dates arrive, interim steps in the operating business are drawing particular attention. On the equity market, the mix of restructuring progress and delayed reporting continues to weigh on sentiment: on Friday, the stock closed at EUR 8.56, down 1.1%.
