BayWa's renewable-energy arm has closed a sale, but the parent company's creditors are still working through the paperwork that will decide how much of their money they get back. The gap between those two events is the whole story for anyone holding the stock.

A completed transaction on one side of the group

BayWa r.e. announced on 1 October that it had sold the "Gresselgrund" solar project to iAccess Energy. The plan calls for a ground-mounted photovoltaic array rated at 22 MWp alongside a battery storage unit with 60 MWh of capacity.

That gives the subsidiary a signed, delivered deal. It does not mean the hardware exists yet. Ownership has changed hands; construction of the panels and the storage system is still a project on the drawing board, not an operating asset. Investors weighing the BayWa equity should keep the project business and the group's financing arrangements in separate mental columns — one concerns a specific asset, the other governs the terms on which lenders and major shareholders will back a broader overhaul.

Broad backing, but only at the outline stage

Roughly a month ago, BayWa disclosed agreement on a term sheet for a revised restructuring package. The tally: 267 of 268 required financing partners, representing about 99.98% of the recorded financial liabilities. Both anchor shareholders signed on as well.

Should investors sell immediately? Or is it worth buying BayWa?

That is a striking show of consensus — and nothing more than a show of consensus. A term sheet sets out intentions; it does not execute them. The Handelsblatt reported that the arrangement contemplates a debt waiver in the region of EUR 1.5 billion, a figure that conveys the scale of what is at stake. The same report noted that the adjusted restructuring was not yet complete when the agreement was struck. Shareholders should not read the near-unanimous support as a waiver already booked.

The hybrid bond sits at the center of the plan. Under the company's own disclosure, holders of that instrument are expected to surrender nearly all of the nominal amount, plus every cent of accrued interest, with no compensation. Both qualifiers matter: "nearly all" for principal, "all" for the coupon. And the language describes an intended step, not a completed forgiveness.

The creditor ballot now carries the weight

Two weeks ago came word of the vote that will give those bondholders their say. On 7 October, BayWa published a request to add a further item to the agenda, together with the issuer's statement on the matter. That filing is the procedural machinery through which the bondholder decision will be taken.

For equity holders, the distinction is everything. The relief being sought explains why the restructuring matters so much; it does not prove that any of the announced steps have been finished.

BayWa at a turning point? This analysis reveals what investors need to know now.

Two dates to watch, both still ahead

Reporting provides the second set of milestones. BayWa has said its 2025 annual report will land on 22 December 2026. The advance notice carried no business figures — it is a calendar marker, not a basis for revaluing earnings.

The group's half-year report for the first six months of 2026 is scheduled for 26 February 2027. That leaves investors with two separate tests: whether the restructuring measures actually get implemented, and what the delayed financial statements reveal about the company's economic condition. The solar sale settles neither question.
