Bayer Trims Debt Forecast by EUR 3 Billion as FDA Widens Hyrnuo Label and Neste Deal Takes Shape

Bayer has revised its net financial debt guidance for 2026 downward to EUR 29–30 billion, a EUR 3 billion improvement on the previously projected EUR 32–33 billion. The adjustment stems from a minority stake sale to Apollo Global Management, which will inject EUR 3 billion of equity into a newly formed entity housing Bayer's long-acting reversible contraception (LARC) business.
Bayer will retain both majority ownership and operational control of the LARC unit. The transaction is slated to close in the third quarter of 2026 — a meaningful relief valve for a company that has spent years carrying the debt burden inherited from its Monsanto acquisition.
Full-Year Targets Left Untouched
Crucially, the rest of Bayer's annual outlook stands as before. Adjusted EBITDA is still guided at EUR 9.6–10.1 billion, and core earnings per share remain penciled in at EUR 4.30–4.90. Keeping those figures intact signals that the deleveraging is not being financed by cutting into operational ambitions — it flows from a structural portfolio move instead.
The lower debt projection reshapes Bayer's financial latitude. Analysts have long cited the company's leverage as a drag on the equity, and a lighter balance sheet opens room for further portfolio transactions or pipeline investment.
Two Operational Wins Land on the Same Day
On the pharmaceutical side, the US Food and Drug Administration granted Hyrnuo (sevabertinib) approval as a first-line therapy for adults with locally advanced or metastatic HER2-mutant non-small cell lung cancer, eliminating the requirement for prior systemic treatment. The drug had been cleared in the US since November 2025, but only for patients who had already undergone another therapy.

The accelerated green light rests on the Phase I/II SOHO-01 trial, which recorded an overall response rate of 75% — 6% complete responses and 70% partial responses. Responses lasted at least six months in 73% of patients. A confirmatory Phase III study, SOHO-02, is already underway.
Broadening the label into first-line use substantially enlarges the addressable patient pool, since most patients previously could only access sevabertinib after other treatments failed. Oncology is viewed internally as a growth engine that sits apart from the margin-rich but cyclical crop chemicals unit.
Neste Tie-Up Targets Biofuel Feedstock
Bayer also finalized a commercial agreement with Finnish energy group Neste to scale up the "newgold" winter canola hybrid across the Southern Great Plains of the United States. The crop will serve as feedstock for renewable diesel and sustainable aviation fuel.
Citing its own projections alongside those of the US Energy Information Administration and McKinsey, Bayer expects global biofuel demand to nearly triple to roughly 40 billion gallons by 2040. The newgold hybrids are set to reach the market in autumn 2027, bringing winter hardiness along with Bayer's proprietary TruFlex technology and pod-shatter resistance. A protein-rich animal feed for dairy, beef, poultry and swine operations emerges as a byproduct.
Analyst Stance and Share Price
Deutsche Bank Research reaffirmed its "Buy" rating on Bayer with an unchanged EUR 60 price target. Analyst Virginie Boucher-Ferte pointed to an investor event where Bayer laid out its five-year Crop Science targets in greater detail, without raising them. She continues to flag the cyclical nature of the agrochemical business as the principal risk, noting that other risk factors have largely dissipated in her assessment.
The stock closed Thursday at EUR 48.46, down 1.2% from the prior session, leaving it just below its 50-day moving average of EUR 48.67 — a sign of muted near-term momentum. It remains under the 52-week high of EUR 53.86 touched in early July.
Portfolio Reshaping Continues
The Apollo arrangement fits into a broader sequence of strategic moves. In June, Bayer completed its acquisition of Perfuse Therapeutics, paying USD 300 million upfront with a total deal value of up to USD 2.45 billion contingent on milestone achievements. That purchase added PER-001, a drug candidate for glaucoma and diabetic retinopathy, to the pipeline.
For shareholders, the reduced debt forecast delivers breathing room while the legal wrangling over glyphosate grinds on and the pharmaceutical and agricultural divisions are expected to perform. The combination of lighter leverage and a confirmed guidance range should serve as a valuation argument in the weeks ahead, whatever the outcome of pending litigation.
