The Arnault family is preparing a sweeping reorganization of the holding architecture that controls LVMH, even as the luxury giant's shares hover just above multi-year lows amid a worsening downturn in global high-end demand.

Under the plan, the family vehicle Agache would absorb Christian Dior SE in a two-step maneuver. Agache first takes over Financière Agache, then folds entirely into Christian Dior, with the combined entity to operate as Agache SCA. The resulting structure would hold 49.76% of LVMH's capital and 65.55% of its voting rights, according to Reuters.

Minority holders in Christian Dior would receive a pure cash buyout offer in the first quarter of 2027, subject to approval from France's AMF market regulator, alongside corporate-law consents and supervisory exemptions. The proposal also includes a tender offer for the 2.44% of Christian Dior not currently owned by Agache. Completion of the merger has been flagged for December.

Leadership Questions Linger

Separately, French publication La Lettre reported on September 24 that the family is weighing changes at the top of the group, with Deputy CEO Stéphane Bianchi potentially elevated to Corporate Officer status. The company has not confirmed any such plans.

LVMH shares have shed 40% since the start of the year, trading at EUR 379.05, after touching a fresh 52-week low of EUR 377.35 on Friday. China Concerns Weigh on Forecasts

The persistent selling pressure reflects a visible cooling in the global luxury segment. Investors are growing more skeptical about sustained consumer reticence in key markets, with geopolitical tensions in the Middle East compounding a sluggish recovery in Asia.

Worries about a further slowdown in China mounted following media reports on September 25. Bernstein responded by cutting its annual revenue forecasts for the group. The brokerage had already trimmed its price target for LVMH to EUR 520 on September 15 while keeping an "Outperform" rating, citing a pause in China's economic recovery and pressure on the Fashion & Leather Goods division.

That core segment is seen as pivotal to the group's earnings power. Should spending appetite among affluent customers continue to fade, pricing power and margins would eventually feel the strain. No swift reversal is in sight under current market conditions.

Clarity on actual trading performance arrives shortly. LVMH will publish third-quarter revenue figures on October 12 after the close of the Paris bourse, with a webcast for investors scheduled for 18:00 Paris time. The release should reveal how deeply the pullback in spending has dented the numbers.

Beyond the earnings calendar, the group continues to invest in customer engagement. From October 16 to 18, LVMH will host its "Journées Particulières," opening the doors of numerous Maisons at selected locations worldwide. On September 21, during NYC Climate Week, the company highlighted supplier commitments under its LIFE 360 Business Partners sustainability program, and subsidiary Belmond announced on September 22 the recognition of six of its hotel properties.
