The rare earths developer has turned a page on its financing odyssey. Arafura Rare Earths has placed roughly 1.35 billion new shares at A$0.26 apiece, raising A$350 million through an institutional bookbuild that closed on May 22. The proceeds, combined with a retail share purchase plan and previously committed equity lines, bring the total equity required for the Nolans project in the Northern Territory to a fully funded position — but not without a bruising cost for existing holders.

Hancock Prospecting, already the largest shareholder, took A$85 million of the placement, securing approximately 326.9 million new shares. Its stake will rise to around 17.5% once the institutional tranche settles, and that figure does not yet account for any additional take-up under the share purchase plan or potential cornerstone investors. The retail offering opens on June 3 and targets an extra A$25 million at the same issue price, lifting the total equity raise to A$375 million if fully subscribed.

Nolans is designed to be Australia’s first fully integrated rare earths operation, running from ore to oxide. It will focus on neodymium-praseodymium (NdPr) oxide, a critical input for permanent magnets used in electric vehicles, wind turbines and defence hardware. The Australian government has given a non-binding commitment to buy 500 tonnes of rare earths from Nolans each year for its Critical Minerals Strategic Reserve, contingent on Arafura’s final investment decision — which the board has already taken.

Beyond the placement, Arafura has binding equity commitments worth roughly A$430 million from Germany’s KfW (on behalf of the German raw materials fund), Australia’s Export Finance Australia, and the National Reconstruction Fund Corporation. Those commitments, together with A$481 million raised in the fourth quarter of 2025, cover the entire equity side of Nolans’ capital stack. Pro forma cash is expected to exceed A$900 million after the transactions close.

The market reaction was swift and severe. On May 25, the day placement commitments were announced, the stock dropped 10.7% to A$0.28. The selling continued the next session, knocking the shares a further 5% to A$0.265 — scraping just above the placement price of A$0.26, which now acts as a visible floor. The discount to the previous trading level was steep enough to spook retail holders, even as institutional investors such as State Street built a stake of over 5% shortly before the bookbuild.

Arafura has already lined up offtake agreements with Hyundai, Kia and Siemens Gamesa, underscoring the strategic appetite for NdPr outside China. Once operational, Nolans is expected to supply 4% to 5% of global demand for the oxide. Construction is slated to begin in September 2026, with a mine life of 38 years.

Two procedural hurdles remain: the share purchase plan closes on June 3, and an extraordinary general meeting on July 2 will ask shareholders to approve the financing arrangements. If both pass without disruption, the debate will pivot from balance sheet survival to execution risk — whether Arafura can turn its fully banked project into a producing asset on schedule. The next few weeks will determine whether the dilution was a necessary evil or a bitter pill that leaves a lasting aftertaste.
