The Austrian-German sensor and lighting specialist is fighting on multiple fronts: defending its intellectual property in German courts, shoring up its balance sheet with fresh debt, and steering a portfolio overhaul that has already reshaped its revenue base. Free cash flow swung to minus €119 million in the second quarter, a steep slide from the minus €14 million recorded in the same period a year earlier and a stark reversal from the plus €37 million posted in the first quarter of 2026. The deterioration stands in contrast to an otherwise solid operational performance, with revenue reaching €805 million — up 3.9 percent year-on-year — and adjusted EBITDA of €136 million, down 6.2 percent. A Refinancing Cushion and a Shareholder Return Plan

To reinforce its financial footing, Ams Osram has completed the placement of €1 billion in senior notes carrying a 7.25 percent coupon. The proceeds are earmarked for refinancing and are intended to stabilise the balance sheet structure. In a related move, the company is planning a pro-rata tender offer of between €120 million and €150 million, aimed at buying back convertible bonds maturing in 2027 and senior notes due in 2029. The offer is expected to launch within 120 days of the closing of the Infineon transaction.

That divestment — the sale of the non-optical sensor business to Infineon — was completed on July 1. The unit would otherwise have contributed roughly €40 million in revenue and about €20 million in adjusted EBITDA during the third quarter. The disposal of the CMOS image sensor division to Indie Semiconductor remains pending.

Record Design Wins Signal Photonics Traction

Alongside the quarterly results, the company reported record design wins exceeding €1.6 billion in the second quarter alone and approximately €2.5 billion for the first half of 2026. The emphasis is squarely on the AR and digital photonics segment, where Ams Osram also flagged a milestone in the series production readiness of microLED array light sources for AR smart glasses. These order wins are widely seen as evidence that the company is gaining ground in the augmented reality arena, even if the revenue impact will only materialise in coming quarters.

Analyst Sentiment Turns Positive Despite Cash Burn

The quarterly figures, published on August 4, drew favourable reactions from several analyst houses. Jefferies highlighted progress in the digital photonics division, suggesting the company could build a business with billion-euro potential in light technologies for smart glasses and AI data centres. ZKB described the core business as "very positive" with 13 percent growth, while UBS called the results "solid" and anticipated upward revisions to 2026 earnings estimates.

Market Reaction and Technical Picture

The shares closed Monday at €20.70, up 2.0 percent on the day, and have advanced 29 percent over the past 30 days. However, Tuesday brought a 6.3 percent pullback, pushing the stock below that closing level. The retreat looks more like a pause following a strong run than a fundamental reassessment — the shares remain up roughly 146 percent year-to-date and 91 percent over twelve months.

The stock is trading well below its 52-week high of €26.70 but sits comfortably above the December low of €7.38. It has been converging toward its 50-day moving average of €19.32 following the early-August earnings release.

For the third quarter, management guided to revenue between €770 million and €870 million, with adjusted EBITDA margin of 16.0 percent, plus or minus 1.5 percentage points. The full-year outlook was essentially maintained. The combination of confirmed guidance, billion-euro design wins in photonics and the freshly completed bond placement gives the company financial headroom — even as the cash flow picture and the pending tender offer will keep investors focused on balance sheet discipline in the months ahead.
