ams-OSRAM Offers to Repurchase 2027 Convertibles, Tapping Divestment Proceeds to Trim Debt

ams-OSRAM has moved to retire part of its outstanding convertible debt, launching a formal buyback offer for the notes maturing in 2027. The repurchase is being funded from proceeds tied to divestments the company had previously agreed, among them the sale of its non-optical mixed-signal sensor business to Infineon and the disposal of its CMOS image sensor operations to Ay Dee Kay Limited.
The tender covers up to EUR 143 million in convertible bonds, against a total outstanding volume of EUR 432.8 million. According to the company, the sum on offer also reflects estimated purchase price adjustments.
Timeline and Balance-Sheet Mechanics
Media reports put the acceptance window at 23 trading days, running from October 15, 2026 through November 16, 2026. Management has reserved the right to stretch that period to as many as 40 trading days if needed.
The transaction is designed to pay down liabilities and shore up the balance sheet. It slots into a broader reworking of the company's debt side: ams-OSRAM has placed new senior notes worth more than EUR 1 billion carrying a 7.25% coupon, a refinancing that translates into roughly EUR 40 million in annual interest savings.
Divestment-Driven Cleanup
The buyback marks another stage in the group's operational and financial overhaul. By narrowing its focus to core segments, ams-OSRAM has spent recent months shedding peripheral operations to generate liquidity for debt reduction.

Q2 Print and Q3 Guidance
In the completed second quarter of 2026, ams-OSRAM generated revenue of EUR 805 million. Its adjusted EBITDA margin came in at 16.9%, the top end of the target range the company had issued beforehand.
For the current third quarter, management is guiding toward revenue of between EUR 770 million and EUR 870 million, alongside an adjusted EBITDA margin of 16.0%, with a variance of 1.5 percentage points.
Photonics Push Continues
Alongside the portfolio cleanup, the company is pressing ahead with new semiconductor development. At the ECOC 2026 trade fair, ams-OSRAM unveiled a thin-film VCSEL laser platform on an 850-nanometer basis, aimed at optical links in data centers built for artificial intelligence.
Working with partner BizLink, the company also demonstrated a multicore-fiber connection that achieved error-free data transmission of 32 Gb/s at an energy efficiency of roughly 0.25 pJ/bit.
Analyst Backing
Progress in that growth segment has drawn notice on the sell side. Jefferies reaffirmed its "Buy" rating on September 23 and lifted its price target from CHF 21.00 to CHF 25.50, as reported by the dpa-AFX news agency.
Despite the recent consolidation, the shares remain up sharply since the start of the year — 161% on one reading, 168% on another. Investors will be watching for further trade-show appearances by the company in the days ahead.
