Vincorion's Heli-One Deal and Trade Show Season Offer Pockets of Light Amid Lock-Up Gloom

As Vincorion gears up for a cluster of European defence exhibitions beginning this week, its shares are nursing a 20% slide from the €22.58 all-time high touched in early May — a gulf between operational momentum and market mood that few investors seem able to bridge. The stock closed Friday at €18.18, still a step above its €17.00 IPO price from March, but the trajectory has been unmistakably downward.
The fundamental picture, however, tells a very different story. First-quarter revenue surged 40% to €69.0 million, while adjusted EBIT climbed roughly 30% to €12.4 million, yielding a solid 18.0% margin. More striking still, order intake quadrupled to €149.4 million, swelling the total backlog to around €1.2 billion. Management confirmed that over 90% of the full-year revenue target — between €280 million and €320 million — is already locked in via firm orders. The guidance for an adjusted EBIT margin of 18% to 19% remains unchanged.
Yet the share price has been pinned down by a structural overhang. Private equity backer STAR Capital holds 47.5% of the equity, and those shares are subject to a lock-up agreement that runs until autumn 2026. With the free float so thin, even modest selling volumes move the needle aggressively. Many market participants are already pricing in the eventual release of that huge block, effectively capping any sustained rally.
Cash flow turns negative — but management sees it as temporary
One number has particularly unsettled some investors: free cash flow swung to minus €7.1 million in the first quarter. The culprit is twofold — heavy investment in new production lines and a backlog of tax payments. The company is funding its capacity expansion entirely from operations, and management insists the cash flow strain is purely transitory. No new debt or capital increases are planned.

A positive free cash flow print when first-half results are released on August 12 would go a long way toward proving that the growth story can stand on its own feet. Until then, the stock is likely to oscillate between strong sector tailwinds and the persistent lock-up debate.
Technicals flash oversold ahead of trade show flurry
With a 14-day relative strength index of 22 — well into oversold territory — some traders see a setup for a mean-reversion bounce. The annualised 30-day volatility has topped 70%, not unusual for a stock with such a narrow free float. A series of upcoming industry events could act as catalysts.
From May 27-28, Vincorion is exhibiting at the DWT symposium "Energy Supply for Armed Forces" in Bonn, showcasing its 50-kilowatt power generator module and 50-kilowatt-hour energy storage module, both used in the EU's SENTINEL defence research project. The HHO Symposium follows on June 10-11, and the major Eurosatory defence fair in Paris runs from June 15-19 — a concentrated window for a company specialising in mission-critical energy solutions for military forces.

A new leg in aviation looms
Beyond the trade show circuit, Vincorion is laying groundwork in a fresh vertical. In May it signed a letter of intent with Norwegian partner Heli-One to launch an electric rescue winch. If certification for various helicopter platforms is secured, the company could address both civilian and military customers far more broadly than today.
For now, the market's focus remains split between the blistering order book and the dual headwinds of the lock-up and the cash flow deficit. Until the free cash flow turns positive or the lock-up expiry draws closer, the shares may continue to trade at a discount to their operating reality.
