The aesthetic medical technology company Venus Concept has formally concluded its merger with Madryn Asset Management, marking its full transition into private ownership. This move ends the firm's tenure as a publicly traded entity, shifting its strategic focus entirely toward operational restructuring and long-term development.

A Strategic Exit from Public Markets

Under the sole direction of Madryn, an investor in the company since 2016, Venus Concept plans to concentrate on sustained growth initiatives. Freed from the regulatory demands and costs associated with a public listing, the company intends to prioritize product innovation in minimally invasive systems and hair restoration technologies. This strategy aims to bolster its market position across more than 60 countries it currently serves.

The decision to delist was initially made in January following a comprehensive review by the board of directors. The board determined that the personnel and financial burdens of complying with U.S. Securities and Exchange Commission reporting requirements, coupled with the costs of maintaining its NASDAQ listing, outweighed the benefits for the company. The merger became effective in late March, granting Madryn Asset Management control over 100% of Venus Concept's common shares.

Financial Reorganization and Shareholder Impact

In the lead-up to the merger's closure, Venus Concept secured additional capital. A targeted share issuance to Madryn in late March provided the company with gross proceeds of USD 1.5 million. These funds are allocated for strengthening working capital and supporting ongoing business operations. This capital raise follows earlier efforts in the second half of 2025 to improve financial flexibility through a debt-for-equity exchange.

For existing minority shareholders, the transaction results in a cash consideration of USD 0.04 per share. In market trading following the announcement, the stock experienced a significant decline of 11.45%, hitting a new 52-week low at USD 0.27.
