A Clean Regulatory Slate

In a written notification received this week, Nasdaq confirmed that urban-gro is now in full adherence with all applicable market rules. This resolves a series of previously cited deficiencies, including issues related to minimum stockholders' equity, the timely filing of periodic financial reports, and the holding of its annual shareholder meeting.

The confirmation removes the immediate threat of a delisting. urban-gro had been operating under a series of compliance deadline extensions granted by a Nasdaq panel, which extended through February 2026. By rectifying all outstanding issues ahead of schedule, the company has solidified its regulatory position and eliminated a key overhang on its stock.

Auditor Transition Completed

Concurrent with the Nasdaq update, urban-gro has reconfigured its financial oversight. A filing with the U.S. Securities and Exchange Commission (SEC) reveals that the company dismissed its former auditor, Sadler, Gibb & Associates, effective late February. Effective March 3, the audit firm Suri and Co. has been engaged as the new independent registered public accounting firm. Suri and Co. will be responsible for the audit of urban-gro's financial statements for the fiscal year ending 2025.
