The U.S. Department of Justice has leveled serious criminal charges against a co-founder of Super Micro Computer, alleging a multi-billion dollar scheme to illegally export advanced artificial intelligence chips to China. The details of the indictment, which read like a corporate thriller, have plunged the server manufacturer into a profound crisis of confidence.

Investor Reaction and Financial Strain

News of the investigation triggered a severe market reaction. The company's stock price plummeted by 27.75% in a single trading session, closing at $22.25 and hitting a new 52-week low. This legal escalation comes at an inopportune moment for the firm's financials. While quarterly revenue recently climbed to $12.7 billion, the company's gross margin contracted sharply to just 6.3%, a significant drop from the 11.8% margin reported the previous year.

The Alleged Export Scheme

At the center of the allegations are co-founder and former Vice President Yih-Shyan "Wally" Liaw, along with two other individuals. Federal prosecutors claim the trio orchestrated the illegal export of servers containing tightly regulated Nvidia graphics processing units—including B200 and H200 models—valued at approximately $2.5 billion between 2024 and 2025. Investigators state that technology worth over $510 million was diverted in April and May of 2025 alone.

To circumvent trade authorities, the group allegedly employed a complex network of shell companies across Southeast Asia, according to unsealed court documents. A particularly audacious method was reportedly used to pass compliance checks: the suspects are accused of using hair dryers to remove serial numbers from legitimate servers and affixing them to non-functional dummy units to deceive inspectors.

Governance History and Immediate Fallout

This is not the first governance issue for Super Micro Computer. The company paid a $17.5 million settlement to the U.S. Securities and Exchange Commission in 2020 for accounting violations. Furthermore, auditor Ernst & Young resigned in late 2024, citing concerns over a lack of board independence.

Although Super Micro Computer itself is not named as a defendant in the court filings, it has taken swift internal action. The implicated employees have been suspended, ties with the involved service provider have been severed, and Liaw has resigned from the board of directors.

Supply Chain Vulnerabilities Emerge

A major operational risk now lies in the potential response of key partners. Super Micro Computer is heavily reliant on Nvidia, accounting for roughly 9% of the chip giant's total revenue.
