S&P Global Ratings has shifted its perspective on SoftBank Group Corp., revising the conglomerate's credit outlook from "stable" to "negative." The ratings agency maintained its "BB+" issuer credit rating for the time being but issued a clear warning. According to S&P, the primary driver for this cautious stance is the potential financial strain arising from SoftBank's substantial commitments to artificial intelligence ventures, most notably its deepening investment in OpenAI.

A Concentrated Bet Raises Concerns

The catalyst for S&P's reassessment is SoftBank's pledge to inject an additional $30 billion into OpenAI. This move would bring the Japanese investment giant's total commitment to the ChatGPT developer to an estimated $64.6 billion. S&P estimates this investment could equate to an approximate 13% stake in OpenAI.

The agency's concern centers on how this massive, concentrated investment could impact SoftBank's financial health. S&P anticipates that the multibillion-dollar wager will pressure both the liquidity and the overall quality of SoftBank's investment portfolio. A specific worry is the expected significant increase in the proportion of unlisted, private holdings within the portfolio following this transaction.

The Call for Countermeasures

While the "BB+" rating stands for now, S&P explicitly warned that further negative pressure could emerge if SoftBank does not act promptly to rebalance its finances. The agency suggested that asset sales could be one method to alleviate the growing financial burden.

Although S&P assumes that SoftBank's management will undertake such corrective measures, the timing and scale of any potential divestments remain uncertain, adding to the risk profile.

PayPay, alongside an affiliated entity of the SoftBank Vision Fund II, aims to raise up to $1.1 billion through the listing. Reports indicate the planned valuation could reach as high as $13.4 billion. Following the IPO, SoftBank-related entities are expected to retain roughly 91.8% of the voting rights. This listing would also rank among the largest U.S. stock market debuts by a Japanese company to date.

This strategy highlights the delicate balancing act SoftBank is attempting: deploying enormous capital into focused AI investments while simultaneously trying to generate liquidity through IPOs and asset sales. According to S&P, the success—or failure—of this very balancing act is the core risk factor underpinning the newly "negative" outlook.
