A sudden shift in U.S. trade policy has created significant headwinds for Commerzbank, arriving at a particularly delicate moment for the German lender. The bank's shares have declined by approximately 16 percent over the last four weeks, a slide that is materially altering the dynamics of the ongoing takeover contest with Italy's UniCredit.

Commerzbank's business model is at the heart of its recent vulnerability. The Frankfurt-based institution maintains deep ties to export-oriented and tariff-sensitive industrial sectors, most notably automotive manufacturing and mechanical engineering. A potential slowdown in these core industries, triggered by new U.S. import duties, would therefore have a tangible, albeit indirect, negative impact on the bank's performance. Market participants are already pricing in this heightened risk.

A Narrowing Valuation Gap

This market reaction presents a direct challenge to Commerzbank's defense strategy. UniCredit, which already holds a stake of nearly 30 percent in Commerzbank, has tabled a formal exchange offer. The proposal values each Commerzbank share at 0.485 UniCredit shares, a theoretical value of around €30.80. While Commerzbank's market price traded above this threshold, the offer held little appeal for many institutional shareholders. The recent depreciation in Commerzbank's stock has now substantially eroded that premium.

  • May 4: An extraordinary general meeting of UniCredit shareholders will be held to seek approval for the new shares required to facilitate the share exchange.
  • May 8: Commerzbank is scheduled to release its financial results for the first quarter of 2026.
  • May 20: The bank's regular annual general meeting will take place, featuring a vote on the proposed dividend.
  • May 25: The dividend payment of €1.10 per share for the 2025 financial year will be distributed, with the ex-dividend date set for May 21.

For the full 2026 fiscal year, Commerzbank's management is targeting a net profit exceeding €3.2 billion. This forecast is predicated on achieving a net interest income of roughly €8.5 billion. The quarterly figures released in May will provide the first concrete evidence of whether these targets remain achievable against a backdrop of potential global economic cooling.

Time and Trade Policy as Key Variables

Even assuming Germany's Federal Financial Supervisory Authority (BaFin) grants regulatory clearance on schedule, the outcome of the takeover offer is unlikely to be finalized before summer. UniCredit's own projections do not foresee full regulatory completion until 2027. This extended timeline means trade policy decisions from Washington will remain a dominant external factor. Furthermore, the longer Commerzbank's share price remains under pressure, the more precarious its defensive position becomes.
