ServiceNow has finalized its $7.75 billion acquisition of cybersecurity firm Armis, a move designed to create a fully autonomous defense platform. The timing is strategic, coming just two days before the company’s first-quarter earnings report, as the software giant aims to showcase its resilience amid a challenging year for its stock price.

While the Armis deal, funded by cash and debt, brings AI-powered security for physical devices like IoT systems and medical equipment into the fold, ServiceNow faces significant headwinds in another key area. Its U.S. public sector business saw orders plummet by 72% to approximately $48 million last quarter, hampered by a partial government shutdown that stalled new contract awards. This decline has pressured near-term performance obligations and reflects a broader caution around large public sector deals.

The company’s financial health presents a stark contrast to its share performance. Subscription revenues for the fourth quarter of 2025 grew 21% to $3.47 billion, while remaining performance obligations jumped 25% to $12.85 billion. The AI product suite, Now Assist, has more than doubled its annual contract value to over $600 million. Management is targeting the billion-dollar mark for this segment by the end of 2026.

Wall Street’s focus is firmly on the upcoming results. Analysts project first-quarter revenue will leap to around $3.75 billion, with earnings per share expected to climb to $0.95. For the full 2026 fiscal year, ServiceNow’s leadership has guided for revenue between $15.53 billion and $15.57 billion. Investment firm BTIG recently reaffirmed its buy rating, providing some support for the stock, though other houses like Truist and Mizuho have maintained positive ratings while trimming their price targets.

The Armis acquisition is the latest piece in a clear security strategy. It follows the purchase of identity provider Veza in March 2026. Together, they build upon a Security-and-Risk segment that surpassed $1 billion in annual contract value in the third quarter of 2025. Concurrently, ServiceNow is expanding its industrial footprint, unveiling new AI solutions for manufacturing at the Hannover Messe. These include modules for automated quality management and AI-powered warranty fraud detection, supported by new partnerships with Bosch Rexroth and SupplyOn.

Despite operational strength, ServiceNow’s stock tells a different story. After a slight recovery to around $100 on April 20, the shares remain down roughly 37% since the start of the year, caught in what some observers call a "SaaS-pocalypse" mood where generative AI is feared to devalue traditional software models.

The company has secured a $3 billion revolving credit line to fund its ambition of becoming a central AI layer for enterprises, attracting increased positions from institutional investors like Smith Salley Wealth Management. The coming days are critical. Following the Wednesday earnings release, ServiceNow’s management will detail its AI monetization strategy at the Financial Analyst Day in Las Vegas on May 4, with a broader showcase of its industrial solutions slated for the Knowledge 2026 conference in early May.
