RTL's Sky Acquisition Nears Regulatory Finish Line

RTL Group seeks EU approval for Sky Deutschland acquisition to challenge Netflix, offers concessions. Deal would create a 12M subscriber platform and boost sports rights.

In a strategic move to bolster its competitive stance against global streaming leaders such as Netflix and Amazon, European media conglomerate RTL Group is advancing toward the acquisition of Sky Deutschland. The transaction, valued at up to €527 million, is designed to strengthen the company's market position in the DACH region. The final decision now rests with European Union regulators, to whom RTL has presented a set of proposed concessions.

Shareholder Rewards and Market Performance

Investor sentiment has been supported by the company's robust shareholder returns. RTL's board has proposed a dividend of €5.50 per share for the past fiscal year, more than doubling the previous year's payout. This operational confidence is reflected in the equity's market performance. Closing at €37.05 in the latest session, the shares trade just shy of their 52-week peak and have posted a solid gain of 6.31% since the start of the year.

Concessions Aim to Address EU Scrutiny

To alleviate antitrust concerns from the European Commission, RTL has formally submitted a package of remedies. According to industry sources, the group may offer to outsource certain advertising sales operations to a third party. In response, EU competition authorities have extended their review deadline to April 22. Management remains optimistic, anticipating the deal will close within the first half of 2026.

The strategic rationale for the merger is significant. Combining RTL+ with Sky's pay-TV and streaming services would create a platform with approximately 12 million paying subscribers. Furthermore, the deal secures RTL access to valuable sports broadcasting rights, including Germany's Bundesliga and Formula 1. While German media regulators (KEK) granted their approval last September, the EU's detailed examination follows the collapsed sale of RTL's French subsidiary, M6. In that instance, the conditions demanded by authorities ultimately rendered the fusion financially unattractive.

A Pivotal Date for Future Strategy

All eyes are now on April 22 as a decisive milestone for the company's strategic direction. A favorable ruling from the European Commission would bring RTL's medium-term target of achieving €1 billion in adjusted operating profit (EBITA) firmly within reach.
