The proposed acquisition of Sky Deutschland by RTL Group is encountering delays as European regulators scrutinize the deal. In a bid to address competition concerns, the media conglomerate has submitted a series of commitments to the European Commission. This move has extended the regulatory review period, highlighting the intense battle for dominance in the German-speaking streaming landscape.

Financial Strength and Strategic Ambitions

RTL Group is pursuing this strategic move from a position of financial robustness. For the recently concluded 2025 fiscal year, the company reported a total profit exceeding one billion euros. This significant leap was primarily driven by the lucrative sale of RTL Nederland. The transaction also transformed the group's balance sheet, turning a net debt position of nearly 500 million euros from the prior year into a net cash reserve of 126 million euros.

The acquisition of Sky Deutschland from Comcast, valued at up to 527 million euros, is central to RTL's growth strategy. Success would dramatically expand its subscriber base by combining platforms such as RTL+, WOW, and Sky, potentially reaching approximately 12 million paying customers.

Regulatory Hurdles and Concessions

To secure regulatory approval, RTL has put forward binding commitments, including proposals to outsource certain advertising sales operations to third parties. In response, the European Commission has postponed its provisional decision deadline to April 22, granting authorities more time for a thorough examination.

Should investors sell immediately? Or is it worth buying RTL?

The company's digital division is already establishing itself as a key growth engine, bolstering its case for expansion. Streaming revenue surged by 26% to 509 million euros, supported by a subscriber count that now surpasses eight million. Management anticipates that this streaming segment will reach its breakeven point on a full-year basis for the first time in 2026.

Operational Integration and Market Context

Alongside the pending acquisition, RTL is advancing its technical consolidation. The migration of its German streaming platform to the unified Bedrock infrastructure is slated for completion by the end of this month, a move expected to generate substantial cost savings across its European operations.

The company's dual-strategy of maintaining traditional linear television while expanding digitally appears effective. An internal study indicates that 64% of Europeans continue to watch broadcast TV daily, while the usage of global streaming services like Netflix has stabilized at around 19%.

RTL at a turning point? This analysis reveals what investors need to know now.

Looking ahead, RTL's leadership forecasts an adjusted EBITA of roughly 725 million euros for the current year. Shareholders now await the Annual General Meeting on April 29, where a proposal to significantly increase the dividend from 2.50 euros to 5.50 euros per share will be put to a vote, a distribution supported by proceeds from recent divestments.
