RTL Group Reshapes Leadership as Sky Deutschland Integration Gets Green Light

European Commission approves RTL's Sky Deutschland acquisition without conditions, paving way for new leadership and €250M annual synergy target.

The European Commission has waved through RTL Group's acquisition of Sky Deutschland without conditions, clearing the path for a sweeping corporate overhaul that will reshape Germany's media landscape. With the regulatory hurdle removed, the company is moving at speed to install a new management team before the deal formally closes on June 1.

New Faces at the Helm

Clément Schwebig takes over as chief executive of the RTL Group, replacing Thomas Rabe at the top of the organization. Schwebig, who most recently ran Warner Bros. Discovery's Western Europe and Africa operations, will work alongside finance chief Björn Bauer to steer the enlarged group. The leadership shake-up extends deep into the German operations, where Julia Kloke has stepped in as finance director, moving from Bertelsmann-owned financial services group Riverty. She replaces Ingrid Heisserer, who departs alongside sales director Carsten Schwecke.

Stephan Schmitter will run the combined RTL and Sky Deutschland business, with the integration of free-to-air, pay-TV, and streaming assets as his primary mandate. Michael Radelsberger takes charge of the subscription business, inheriting a formidable customer base: once the deal completes, RTL will count roughly 12.3 million paying subscribers across its RTL+, Sky, and WOW platforms.

Financial Targets and Synergy Ambitions

The management team has set aggressive financial goals for the merger. Over three years, RTL expects to extract annual synergies of around €250 million through shared technology infrastructure, cheaper rights acquisition, and streamlined administration. The company is also migrating its German platform to the unified Bedrock technology stack, a move designed to cut costs and push the digital subscription business into profitability by 2026.

For the current financial year, RTL is targeting revenue of just over €6 billion, with adjusted operating profit of roughly €725 million. The streaming segment, which nearly broke even in the final quarter of last year, is expected to be the primary growth engine. Medium-term ambitions call for operating profit to reach €1 billion.

Stock and Upcoming Catalysts

RTL shares last changed hands at €37.60, with the recent dip largely attributable to the dividend adjustment following a special payout. The next regular dividend is due to land in shareholder accounts on May 5. With trading suspended on the public holiday, the stock's last close was just under €38, though analysts remain broadly neutral, pegging the average price target at €36.71.

The market will get its next look at the underlying business on May 13, when RTL publishes first-quarter results. Those numbers will offer early clues on how traditional advertising revenues are faring against the fast-growing digital operation. But the real focus remains on June 1, when the Sky deal formally closes and the hard work of integration begins in earnest.
