Redwood AI’s $3.5 Million Placement Sends Shares to New Low Amid Dilution Fears

Redwood AI Corp. saw its stock plunge more than 12% on Friday, losing €0.18 to close at €1.33 and brushing a fresh 52-week low of €1.23. The trigger was a private placement priced at a level that, depending on the currency lens, either steeply discounts the current market or introduces a confusing cross-currency dynamic. Either way, the offering has rattled investors already nursing steep losses.
The company is issuing 1,663,000 special warrants at $2.10 each — the price fixed in U.S. dollars — to a single accredited U.S. investor, with gross proceeds targeted at approximately $3.5 million. Each warrant converts automatically into one unit consisting of a common share plus an additional warrant. That extra warrant allows the holder to buy another share at $2.48 within 60 months. Maxim Group LLC is acting as exclusive placement agent, and the transaction is expected to close on July 20, 2026, subject to Canadian Securities Exchange approval.
The capital injection arrives during a relentless slide. Redwood AI has shed nearly 22% in the past seven trading days and more than 27% over the past month. From its April high of €6.66, the stock has cratered over 80%, erasing the bulk of its earlier gains. The current price sits well below the 50-day moving average of €2.78, underscoring the breadth of the sell-off.
Should investors sell immediately? Or is it worth buying Redwood AI?
Technical indicators now flash extreme oversold conditions. The relative strength index has dropped to 17.9 — deep in territory that often signals a bounce could be near, though the 14-day RSI reading sits at a less extreme but still oversold 25.9. Annualized volatility stands at nearly 59%, reflecting the heightened anxiety surrounding the stock.
Dilution fears are not limited to the current placement. Redwood AI has filed a preliminary base shelf prospectus with Canadian securities regulators. Once the final version is accepted, the company intends to file a prospectus supplement to qualify the units issued upon conversion of the special warrants for trading. This suggests that additional dilution could hit the market once those shares become freely tradable.
The timing of the financing is especially jarring given recent positive headlines. Redwood AI had just announced plans to expand into cybersecurity through an acquisition and was added to the CSE25 index, which tracks the 25 largest issuers on the Canadian Securities Exchange by market capitalization. Neither development has been enough to stem the bleeding. With a market cap of roughly €68 million, the stock remains under intense pressure.
The special warrants come with resale restrictions under Canadian and U.S. securities laws, a detail that may slow the immediate overhang. But the real test will come after the July 2026 closing, particularly if the prospectus supplement follows quickly. For now, investors are left weighing a deeply oversold stock against a capital-raising strategy that has only deepened the downdraft.
