Quantum eMotion Moves to Acquire SecureKey Platform in Strategic Expansion

Quantum eMotion expands its quantum-resistant cybersecurity stack with the acquisition of SKV Technology's SecureKey™ platform, aiming for a full-stack solution ahead of future threats.

Following its recent debut on the NYSE American, cybersecurity firm Quantum eMotion has announced a definitive agreement to acquire SKV Technology Inc. This strategic move is designed to broaden its security architecture against future quantum-based threats by integrating SKV's SecureKey™ platform.

Transaction Structure and Timeline

The planned acquisition involves purchasing 100% of the outstanding shares of the California-based cybersecurity company. The deal is structured around milestone-based earn-out payments, with up to CAD 7 million payable in cash, shares, or a combination, contingent on the achievement of specific technical and integration goals.

Furthermore, the agreement includes potential revenue-based royalty payments of up to USD 15 million over a period of five years. These are tied to defined revenue thresholds and technical integration milestones related to the combined security architecture. Classified as an arm's length and expedited acquisition under TSX Venture Exchange (TSXV) rules, the transaction is expected to close around March 2, 2026, pending final TSXV approval and other customary conditions.

Building a Quantum-Resilient Full-Stack

The core strategic aim is to merge the SecureKey™ platform with Quantum eMotion's existing Sentry-Q orchestration layer, which is powered by a quantum random number generator (QRNG). The combined technology stack is intended to create a seamless, quantum-resilient security framework covering cloud, network, device, and chip-level applications.

The assets to be acquired include the SecureKey™ platform, originally developed and commercialized by Jet Lab Technologies. A key figure from that development, Jason Thomas, is expected to join Quantum eMotion in an executive development role. His mandate will be to support product integration, commercialization, and the expansion of SecureKey™ within the company's quantum-resistant cybersecurity roadmap.

Thomas's work at Jet Lab focused on memory-less cryptography, hardened software enforcement, encrypted network stacks, and scalable key lifecycle management for enterprise, industrial, and government environments.

Expanding Market Reach and U.S. Listing Strategy

The acquisition is also anticipated to significantly enlarge Quantum eMotion's addressable market. Beyond its foundational QRNG and entropy solutions, the company plans to offer directly deployable, revenue-generating software components for cryptographic enforcement. Target application fields include AI data centers, energy systems, defense, Industrial IoT, blockchain networks, and critical infrastructure.

This announcement comes shortly after the company consolidated its U.S. market presence. Quantum eMotion commenced trading on the NYSE American on February 24, 2026, to expand its U.S. shareholder base and enhance its capital markets visibility. Concurrently, the company discontinued its trading on the OTCQB, now channeling all U.S. market access through the NYSE American. Its listings on the TSX Venture Exchange (Symbol: QNC) and the Frankfurt Stock Exchange (Symbol: 34Q0) remain active.

All eyes are now on the anticipated closing date around March 2, 2026, which will trigger the next phase of the earn-out structure and the technical integration milestones.
