Powerstorm Holdings is strengthening its role as a bridge connecting U.S. capital markets with Europe's mid-sized corporate sector. The company has laid the groundwork for a novel clean energy financing platform by welcoming NOTUS Luxemburg Holding as a strategic anchor investor. This move is designed to streamline access for institutional capital to regulated projects across Europe.

Building a New Fund Structure

The core of this strategic partnership is a $1.5 million investment from NOTUS. Under the terms of the deal, the investor will acquire five million shares in Powerstorm at a price of $0.30 per share. Furthermore, NOTUS receives one million warrants, exercisable at $0.75 per share over a four-year period. The primary use of this capital injection is to establish a specialized fund vehicle in Luxembourg, known as a Reserved Alternative Investment Fund (RAIF).

Powerstorm's strategy is fundamentally structural. The aim is to merge the transparency characteristic of U.S. public companies with the operational flexibility offered by Luxembourg's fund frameworks. Management intends to reduce friction in dealings with institutional funding partners by creating this hybrid model.

Targeting Growth Sectors and Enhanced Compliance

Key growth markets, including 5G network expansion, artificial intelligence solutions, and energy storage systems, are central to this initiative. The company is preparing for elevated compliance standards by implementing the necessary legal and regulatory groundwork in Luxembourg. This positions Powerstorm to allocate capital more rapidly within a market environment heavily influenced by demand for green technology and digital infrastructure.
