POET Technologies Faces a Crucial Test as Q1 Earnings Arrive Amid Legal Turmoil and a Sector Tailwind

The stock has been on a wild ride, and the next chapter begins on May 20, when POET Technologies reports its first-quarter results. Investors are bracing for a net loss of 5 cents per share—an improvement from the 8-cent loss a year earlier—while revenue is expected to climb to around $350,000, up from $170,000. That’s growth, but from a minuscule base that underscores just how early-stage this company remains.
The backdrop is anything but calm. Just weeks ago, the stock was riding a powerful wave of sector momentum. MACOM Technology Solutions posted second-quarter revenue of nearly $289 million, a 22.5% year-over-year jump. Penguin Solutions surged more than 13% on Friday after unveiling a three-way partnership with AMD and Shell for AI data centers. Microchip Technology reported $1.31 billion in quarterly revenue, up 35% from a year earlier. Those numbers have lifted the entire semiconductor and AI infrastructure space, and POET has been swept along: the stock gained 51% in a single week, compared with a 0.8% rise in the S&P 500 and a 1.7% gain in the Nasdaq.
But that rally rests on fragile ground. The company has no revenue to speak of, a major customer has walked away, and a lawsuit is looming.
The Marvell Shock and Its Aftermath
The trouble began in late April, when Marvell Technology canceled all orders tied to Celestial AI, a company it had acquired in February. POET had been counting on that business, and the stock lost roughly 45% of its value in a single day. Marvell cited a breach of confidentiality agreements related to the public disclosure of the deal.
Should investors sell immediately? Or is it worth buying POET Technologies?
The fallout has been swift. The law firm Faruqi & Faruqi is investigating potential securities violations, including issues tied to the company’s tax status and an alleged breach of a confidentiality agreement by CFO Thomas Mika. June 29, 2026, has been set as the deadline for potential plaintiffs to step forward as lead plaintiff in the case.
In response, POET has secured a new order from an unnamed customer worth around $5 million, with delivery of optical engines planned for the second half of 2026. Whether that fills the gap left by Marvell remains an open question.
Production Plans and a Cash Cushion
When the company reports on May 20, all eyes will be on its manufacturing timeline in Malaysia. POET plans to begin producing light sources there in the second quarter, with 800G optical engines expected to follow in the third quarter. The company has set a target of delivering more than 30,000 optical engines in 2026.
The financial runway is substantial. POET raised over $225 million in the fourth quarter of 2025 and an additional $150 million in January 2026. Liquidity per share stands at $3.36, though ongoing losses will eat into that buffer over time.
The fourth-quarter 2025 report, published in March, provides a baseline. POET posted a net loss of $42.7 million, including a non-cash warrant valuation adjustment of $30.6 million. The company has said a revaluation of those warrants should largely eliminate that charge going forward. Full-year 2025 revenue rose about 2,500% to $1.07 million, driven by initial shipments of photonics systems, but the operating loss widened to $42.1 million.
POET Technologies at a turning point? This analysis reveals what investors need to know now.
A Vote on the Horizon
On June 26, 2026, shareholders will vote on a proposal to move the company’s corporate domicile to the United States. If approved, POET would no longer be classified as a foreign investment company, potentially opening the door to a broader base of U.S. investors.
Until then, the May 20 earnings report will set the tone. If management can demonstrate that the Malaysia timeline is on track and that new orders are starting to fill the Marvell void, the stock may find firmer footing. If not, the 51% weekly rally could prove to be just another turn on a very bumpy road.
