The stock of POET Technologies has staged a dramatic recovery, climbing nearly 47% in the week through May 8 to close at $9.58, even as the company wrestles with the fallout from a catastrophic breach of confidentiality. The rally, which saw shares touch $10.95 on heavy volume last Friday, has erased much of the damage inflicted in late April, when the stock lost nearly half its value in a single session.

The Interview That Set Off a Chain Reaction

The trouble began in mid-April when Chief Financial Officer Thomas Mika disclosed details of business relationships with Celestial AI and Marvell Semiconductor in a public interview. The problem was that Mika was bound by a strict non-disclosure agreement. Marvell reacted swiftly, canceling all orders that POET had received from Celestial AI. The market’s punishment was brutal: on April 27, the stock plunged intraday by roughly 50%.

That misstep has since triggered a wave of legal action. Several U.S. law firms have filed class-action lawsuits, alleging not only the disclosure of confidential information but also misstatements regarding the company’s tax status and faulty certifications in its annual report. Investors have until June 29 to step forward as lead plaintiffs.

A Reincorporation Bid to Fix the Tax Problem

Management is now trying to contain the damage on the tax front. POET plans to move its corporate domicile to the United States, a structural shift designed to eliminate the PFIC (Passive Foreign Investment Company) tax status that has created headaches for U.S. traders holding foreign stocks. For the 2025 tax year, the company intends to use a Qualified Electing Fund election as a transitional fix. The reincorporation proposal goes to a shareholder vote at the annual meeting on June 26.

The announcement of these steps briefly lifted the stock by about 2.3%, but the broader context remains fraught. The shareholder vote and the class-action deadline fall within days of each other at the end of June, creating a concentrated period of risk for the company.

Fundamentals Versus Frenzy

The rally has been driven more by momentum than by any improvement in the underlying business. POET generated roughly $1 million in revenue for the full year 2025, against an operating loss of $42 million. In the most recent quarter, revenue was approximately $341,000 with a net loss exceeding $42 million. The company’s market capitalization stands at $1.3 billion.

Yet the balance sheet offers some breathing room. POET holds about $40 million in cash, and its current ratio of roughly 2.2 suggests no immediate liquidity pressure. The company also has a $5 million production order for optical components and ongoing partnerships with LITEON and Semtech.

A New Volatility Amplifier
