Plug Power’s Share Dilution Casts a Shadow Over a 275-MW Canadian Win

The hydrogen fuel cell company secured a front-end engineering and design (FEED) contract in early April for a 275-megawatt electrolysis system in Baie-Comeau, Quebec. The project, developed by Hy2gen Canada, will use hydropower from Hydro-Québec to produce low-carbon ammonia for the mining and chemical sectors, with construction slated to begin in 2027 and annual output of 230,000 tonnes targeted by 2030. Plug Power calls it one of the largest electrolysis orders in its history, adding heft to a commercial pipeline it values at over $8 billion.
But even as the company touts industrial-scale momentum, the shareholder base keeps expanding at a pace that erodes the value of each individual stake. Around 1.39 billion shares are now outstanding, up from roughly 927 million a year ago. Since 2020, the count has nearly quadrupled. In February, shareholders approved raising authorized capital from 1.5 billion to 3 billion shares, a move driven by contractual obligations to warrant holders and creditors of a $375 million convertible note due in 2033. With less than 0.4% of authorized shares remaining, the increase was all but inevitable — and signals further dilution ahead.
Crespo’s “Focus Mode” and the DOE Backstop
Jose Luis Crespo took the helm in March and has since laid out what he calls “Focus Mode”: disciplined execution, margin improvement, and no distractions. His profitability roadmap targets positive EBITDA by the end of 2026, positive operating income by end-2027, and full profitability by end-2028. That is an ambitious timeline for a company that burned through roughly $536 million in cash last year, entering 2026 with about $369 million in unrestricted liquidity.

Plug Power does have a major financial cushion in the form of a multi-billion-dollar loan guarantee from the U.S. Department of Energy, finalized in January 2025. The non-dilutive funding is earmarked for up to six hydrogen production plants in the U.S., with the first facility in Graham, Texas, already using wind power to produce liquid green hydrogen. The company also expects to raise over $275 million this year through asset sales and the sale of power rights.
Gross Margin Flip: From Negative to Positive
The fourth quarter of 2025 marked a turning point on the profitability front. Plug Power reported a gross margin of 2.4%, a dramatic swing from negative 122.5% in the same period a year earlier. For the full year, revenue came in at roughly $710 million, while the net loss stood at $1.63 billion. The accumulated deficit has reached $8.2 billion.
The May 11 report will test whether that gross margin improvement was a one-off or the start of a sustained trend. A second consecutive quarter of positive gross margins would lend credibility to Crespo’s turnaround plan, especially given the company’s history of chronic capital needs.

Stock Rally Meets Reality
Plug Power shares have climbed about 34% year-to-date to around €2.55, trading well above both the 50-day and 200-day moving averages. The 12-month gain stands at roughly 190%. Still, the stock remains about 27% below its 52-week high of €3.51.
The rally is real, but the math of dilution is relentless. Even if Plug Power eventually turns profitable, those earnings will be spread across a much larger share base than investors anticipated just a few years ago. The Q1 numbers will offer the first glimpse of how many new shares have been issued since the February authorization — and whether the gross margin story can hold long enough for Crespo’s “Focus Mode” to deliver on its promises.
