Plug Power Faces Crucial Shareholder Vote After Initial Meeting Falls Short

The clock is ticking for hydrogen technology company Plug Power. A shareholder meeting held on January 29 failed to reach the required thresholds for two critical proposals, pushing the decisions to a new deadline. The company now has until February 5 to secure the necessary votes from its investor base.

Should the efforts fail, management has indicated that a reverse stock split will be pursued as an alternative path to increase the number of available authorized shares. Market observers often view such a measure with skepticism, as it can impact the stock's price dynamics differently than a direct authorization increase.

Plug Power has scheduled an investor question-and-answer forum for February 2 at 4:00 PM German time. The definitive, reconvened shareholder vote is set for three days later on February 5 at the same hour. The record date for shareholder eligibility was December 12, 2025.

Two Proposals, Narrow Margins

At the heart of the matter are two amendments to the company’s charter. The first proposal seeks to modernize voting standards under Delaware law. While it received supportive votes from 92.63% of the shares cast, this represented only 36.93% of all outstanding shares. Passage requires approximately 50%, leaving a gap of about 13 percentage points.

The second proposal carries greater immediate significance. Plug Power aims to double its authorized common stock from 1.5 billion to 3 billion shares. This measure gained approval from 89.09% of the votes cast, equating to 46.86% of all outstanding shares. The margin to reach the 50% threshold is now a razor-thin 3.14%, setting the stage for a tense conclusion.
