Ondas Holdings is sprinting in two directions at once. The company has just lifted its annual revenue forecast by a wide margin, now targeting at least $525 million for 2026, while simultaneously filing registration paperwork that opens the door for nearly 3.4 million existing shares to hit the secondary market. The tension between a transformed growth story and the immediate dilutive pressure is playing out in real time on the trading screen.

The revenue jump is largely the product of an aggressive acquisition spree. Ondas closed its roughly $876 million takeover of DZYNE Technologies, a deal financed with a mix of cash and stock, and folded the business into a newly created division called Ondas Sentinel. That unit is now the centerpiece of a broader strategic pivot from niche wireless technology to autonomous defense systems. DZYNE is expected to contribute around $191 million in sales this year alone, making up the bulk of the raised guidance. Management has set its sights even higher, eyeing a $1 billion revenue run rate next year.

To fortify the technology stack, Ondas has also locked in a development partnership with Palantir to build an AI-driven command-and-control system for its drone fleet. In parallel, the subsidiary Sentrycs is integrating its radio-frequency counter-drone technology into a Lockheed Martin platform, positioning Ondas as a supplier to prime contractors rather than a solo bidder. The acquisition of Omnisys, completed in May, adds further capabilities to the Sentinel portfolio.

But the rapid expansion comes with a hangover. The registration of roughly 3.4 million shares — largely held by former Omnisys owners — has spooked the market. These are not new shares being issued for capital; they are existing shares now cleared for resale, and the prospect of a sudden wave of supply sent the stock down as much as 6% in U.S. trading. The stock closed Tuesday at €6.45, a level that marks a 28% decline over the past month. Over a 12-month span, however, the early move into defense still shows an eye-popping gain of 324%.

Analysts have begun recalibrating their expectations. Needham’s Austin Bohlig slashed his price target from $23 to $19 but maintained a buy rating, arguing that the long-term growth narrative remains intact. The broader consensus target sits near $16.75, while rating agencies are split: Zacks Research lifted Ondas to “hold,” and Weiss Ratings remains bearish with a “sell” call.

The chart adds to the cautionary notes. The stock has slipped below its 50-day moving average of €8.28 and offers no support from the 200-day line either. The relative strength index hovers near 36, deep in oversold territory. Insider transactions have compounded the unease — executives have sold approximately $32.1 million worth of shares over the past 90 days, a pattern that typically amplifies selling pressure.

Still, the company’s next milestone could provide a catalyst. Ondas expects to close the acquisition of Cyberhawk in the third quarter of 2026, a deal that would further expand its autonomous systems footprint. For now, the market is weighing the promise of a transformed defense platform against the risk that too many shares are chasing too few buyers.
