A major shareholder is moving to increase the free float of German space and technology group OHB SE, even as a pivotal defense contract remains under regulatory scrutiny. Private equity firm KKR has mandated Deutsche Bank, Goldman Sachs, and JPMorgan to coordinate the placement of approximately 20% of the company's shares, according to a Bloomberg report. The founding Fuchs family, which retains control with about 65% of voting rights, is involved in the planning. KKR, currently holding a 29% stake, intends to remain a significant shareholder post-transaction.

CEO Marco Fuchs framed the move as strategically sound, stating that enhanced capital market access will support future growth and the company's competitive standing. The transaction aims to improve the stock's tradability and broaden its investor base.

This shareholder development unfolds against a backdrop of operational strength clouded by regulatory uncertainty. The primary overhang on the share price is the ongoing review by Germany's Federal Cartel Office of a joint venture between OHB, Rheinmetall Digital, and Airbus for the SATCOMBw Stage 4 project. This secure satellite communications network for the Bundeswehr carries an estimated total volume of eight to ten billion euros, involving the construction of over 100 satellites.

The ambiguity surrounding the project's exact timeline triggered a sell-off that temporarily pushed OHB's stock down by more than nine percent. Analysts at NuWays estimate OHB's potential share of the consortium at one-third, which would translate to cumulative contract revenues of 2.7 to 3.3 billion euros.

The adjusted EBITDA margin in the crucial fourth quarter reached 11.6%, highlighting the high profitability of current business and already exceeding the 2026 annual target of 11%.

The market environment remains structurally favorable, supported by planned German investments in military space capabilities and an increased budget for the European Space Agency. Management has dismissed any current plans to delist from the stock exchange and is targeting medium-term annual order intake of around three billion euros.
