Nokia’s management team has been busy filling their own portfolios at just the right moment. On May 4, ten board members received stock-based compensation packages, with Chairman Timo Ihamuotila taking the largest allocation of 15,770 shares. The timing coincides with the stock touching a new 52-week high of €11.21 on Monday, more than triple its August trough of €3.49.

The share awards stem from a resolution passed at Nokia’s annual general meeting on April 9, which stipulates that roughly 40% of annual board fees be paid in equity. All transactions were executed on the NASDAQ Helsinki and reported under Article 19 of the EU Market Abuse Regulation. Vice Chairman Thomas Saueressig, who draws an annual fee of €210,000, received his allocation alongside other members including Elizabeth Crain, Timo Ahopelto, Lisa Hook, and Pernille Erenbjerg, each picking up between 7,000 and 7,800 shares corresponding to their €185,000 yearly compensation.

Shareholders have a dividend payment to look forward to on May 7, with the record date already set for April 28. The AGM authorized total distributions of up to €0.14 per share for the past financial year, with the first tranche of €0.04 per share now imminent. Management has penciled in further payout dates for July, October, and February 2027, though the exact amounts and timing will be confirmed separately each time.

Should investors sell immediately? Or is it worth buying Nokia?

The stock’s blistering run — more than doubling since the start of 2025 — is underpinned by real operational momentum rather than mere sentiment. First-quarter results showed cloud and network segment revenues surging 49% year-on-year, accompanied by expanding profit margins that suggest structural efficiency gains rather than a one-off boost. Nokia has raised its outlook for the AI and cloud markets, now projecting annual growth of 27% through 2028.

CEO Justin Hotard has been making his presence felt beyond the balance sheet. He joined the chiefs of Airbus, ASML, Ericsson, Mistral AI, SAP, and Siemens in signing a joint opinion piece published across multiple European media outlets. The manifesto, following a meeting with European Commission President Ursula von der Leyen in Brussels, calls for sweeping reforms to regulation, competition policy, and industrial strategy — including a revamped M&A framework for strategic consolidation, better integration of civilian and military research, and the development of European AI ecosystems stretching from startups to global champions.

On the portfolio front, Nokia continues to streamline its operations. Late April saw the company agree to sell its fixed wireless customer premises equipment business to Inseego, receiving an approximately 11% stake in the US firm in return. The deal is expected to close in the fourth quarter, sharpening Nokia’s focus on high-margin AI networking infrastructure.

The next major milestone for investors comes on July 23, when Nokia reports second-quarter and first-half results. With the stock riding a wave of AI enthusiasm and a dividend payment just days away, the board’s decision to take their compensation in shares looks increasingly well-timed.
