Mutares Prepares for Major Transaction Surge in Q2

The company is finalizing five acquisitions and has three planned divestitures on its agenda, drawing market attention not only to the transaction volume but also to ongoing financing discussions with bondholders.
Strategic Divestitures and Major Acquisitions
On the sell-side, management is strategically focusing on sectors experiencing high investment demand, namely Energy Infrastructure and Defense. The intense bidding competition in these areas is expected to facilitate attractive exit multiples. This strategy was initiated on March 26 with the partial sale of the Swedish Terranor Group.
The acquisition pipeline is substantial. The centerpiece is the purchase of SABIC's Engineering Thermoplastics business, a company generating approximately two billion euros in annualized revenue. This deal, alongside the planned integrations of Wärtsilä's Gas Solutions segment and Hamberger Industriewerke's flooring business, is projected to add roughly 2.5 billion euros in combined revenue to the Mutares portfolio.

Financing Hurdle and Shareholder Prospects
Before these large-scale transactions can proceed smoothly, Mutares must clear a financing hurdle. The company is in talks with holders of its 2023/2027 bond to address a potential technical covenant breach. A waiver premium of 1.5 percent has been offered to these creditors, a move deemed necessary to secure liquidity for the planned investments.
Should an agreement be reached, fundamental metrics will return to the forefront for investors. Based on 2025 estimates, the price-to-earnings ratio stands at about 4.2. The forecasted dividend of 2.44 euros per share for 2026 implies a yield of approximately eight percent at the current share price near 30 euros. Revenue guidance for the current year is set between 7.9 and 9.1 billion euros. Achieving this target range is largely contingent on the successful completion of the planned second-quarter closings.
