Shareholders of Munich Re are set for a consequential annual meeting on April 29, where a record dividend, a significant auditor change, and a strategic investment will converge. The world’s largest reinsurer is navigating a pivotal moment, balancing aggressive capital returns with a disciplined underwriting strategy and a fresh foray into European defense.

The company’s asset management subsidiary, MEAG, is positioning itself as an anchor investor in a new private equity platform launched by Warburg Pincus. The fund targets majority stakes in established mid-cap European defense companies and aims for a total volume of up to €1.5 billion. It will be advised by industry veterans, including former Renk CEO Susanne Wiegand and ex-thyssenkrupp Marine Systems chief Rolf Wirtz. This move places Munich Re’s capital directly into a sector poised to benefit from rising European defense budgets and a push for strategic sovereignty.

Back in its core business, Munich Re is rigorously pursuing quality over volume. During the recent renewal season, the company deliberately let unprofitable contracts expire, leading to a 7.8% contraction in gross premium volume to €13.7 billion. The natural catastrophe segment saw premiums decline by approximately six percent. This underwriting discipline is a cornerstone of the long-term "Ambition 2030" strategy, which targets a return on equity above 18% and annual earnings-per-share growth exceeding 8%.

These ambitious goals are built on a foundation of strong performance. For 2025, Munich Re posted a record result of €6.1 billion, marking the fifth consecutive year it has surpassed its own forecast. The strategy is further supported by an efficiency program designed to deliver annual savings of €600 million by 2030. The market will get an early read on the strategy's effectiveness when the company reports its Q1 2026 results on May 12, providing the first concrete test of its restrictive underwriting policy.

The shareholder meeting will also feature a notable governance decision. The supervisory board is recommending that shareholders appoint KPMG as the new auditor for the 2026 financial year, a return for the firm which served Munich Re until 2019. This proposed switch follows sanctions by the German audit oversight body APAS against the incumbent, EY, in 2023 over due diligence failures related to the Wirecard scandal. In a rare move, shareholders will be presented with a genuine choice, as both audit firms will be put to a vote, with the final decision resting with the plenum.

For investors, the immediate rewards are substantial. A record dividend of €24.00 per share, roughly 20% higher than the previous year, is on the table. This is complemented by a new share buyback program of up to €2.25 billion, running through April 2027. In total, Munich Re plans to return €5.3 billion to its shareholders. The stock, recently trading at €553.40, has seen little movement since the start of the year as the market awaits these strategic and financial catalysts.
