Streamlining Capital and Awaiting Key Reports

A significant step in simplifying its equity structure has been taken with the recent return of 45 Series C preferred shares to the company by a service provider. These securities are convertible into a total of 18 million common shares. This move reduces structural complexity and mitigates potential dilution effects for existing shareholders.

On the regulatory timeline, the completion of the audit for the 2025 fiscal year is a key milestone. MineralRite is now preparing the final submission of its annual report, with plans to officially file the Form 10-K by the end of March. This follows active dialogue with the U.S. Securities and Exchange Commission (SEC), including the submission of an amendment to its Form 10 on March 4 to address specific regulatory inquiries.

Technical Evaluation Underway at Skull Valley

Operationally, management's current focus is the initial review phase of the Skull Valley project. A site visit was conducted on February 2, and an expert is now compiling a technical report based on the findings. This document is intended to consolidate existing data and establish a substantive foundation for guiding the project's future development.

The anticipated completion of the annual reporting cycle by late March is expected to restore the required transparency with regulators. Shortly thereafter, the publication of the Skull Valley technical report is likely to provide the next material insight for assessing the company's operational standing.
