Europe’s largest airline group is walking a tightrope between strategic expansion and operational headwinds. Lufthansa is in advanced talks to issue a new euro-denominated bond, according to market reports from May 18, with proceeds earmarked for refinancing and investment. The move comes as the carrier prepares to take a controlling 90% stake in ITA Airways for €325 million, a step it aims to complete by June 2026, with full consolidation targeted for 2027.

The capital-raising effort underscores the financial pressures facing the group. While not an emergency signal, the bond would give management greater flexibility to smooth maturities and shore up its balance sheet against volatile fuel prices and geopolitical uncertainty. Lufthansa’s fleet modernization programme remains a constant drain, and the Italian acquisition adds integration costs to the mix.

First-quarter results offered some relief. The adjusted EBIT loss narrowed to around €612 million from €722 million a year earlier, while revenue climbed 8% to roughly €8.75 billion. Yet the margin story is more nuanced: energy, labour costs, and load factors continue to squeeze profitability. The operating environment has not cooperated.

Fuel costs alone are expected to rise by as much as €1.7 billion this year, driven by tensions in the Middle East that have pushed up oil prices. Lufthansa’s hedging programme provides a partial buffer, but the remainder will have to be passed on to passengers through higher ticket prices. Already the airline has begun pruning its network – the Frankfurt-to-Skopje route has been scrapped – and further cuts to regional links are likely as management seeks efficiency.

Labour unrest has compounded the pressure. Strikes at the Frankfurt hub left around 500,000 passengers missing in April, with flight movements down roughly 12%. The effects of those walkouts are still being absorbed, and the group is only now starting to rebuild momentum.

Shares in Lufthansa have struggled to reflect the underlying progress. The stock closed at €7.81 on the day of the bond report, down 7.77% on the week and 8.66% year-to-date, though it has gained 16.68% over twelve months. A brief uptick on Monday – the stock rose 1.37% to €7.83 – was helped by rumours of a possible Middle East ceasefire and speculation that logistics billionaire Klaus-Michael Kühne might take an interest. Still, the shares sit just below their 200-day moving average of €8.04, and roughly 18% below the year’s high of €9.50.

Analyst views remain cautious. DZ Bank sticks with a “Hold” rating but lifted its target to €9.00, citing the improved quarterly figures. Deutsche Bank Research is more conservative at €7.00. The dividend of €0.33 per share for 2025 offers a yield of roughly 4%, but that does little to address the core challenge: financing growth, integration, and investment without losing cost discipline.
