A last-minute shift to a virtual format for its upcoming annual meeting has placed Braemar Hotels & Resorts in legal crosshairs, adding pressure to its already struggling share price. An investor lawsuit now seeks to halt the proceedings entirely, creating significant uncertainty for the hospitality-focused real estate investment trust.

The core of the dispute is a legal complaint filed by investment fund Brancous, LP1 on December 3. The suit alleges breaches of fiduciary duty and violations of securities laws by Braemar’s management. Specifically, it challenges the legitimacy of the shareholder meeting scheduled for December 15, which was recently converted to a virtual-only event.

The plaintiff has requested a preliminary injunction with three key demands: to prohibit the virtual meeting from taking place, to invalidate prior elections for the current board of directors, and to force the rescheduling of the meeting with the fund’s own director nominees included. A court hearing on this injunction request is set for December 11. Braemar has stated it vehemently denies all allegations and plans to mount a vigorous defense.
