Nassef Sawiris moves to non-executive role as OCI sells assets for cash but faces court block on key Orascom Construction merger.

A significant leadership change is underway at OCI Global, marking the end of an era for one of its most prominent figures. After more than two decades leading the company, Nassef Sawiris is stepping down from his role as Executive Chairman. His move to a Non-Executive Director position will be formalized at the upcoming annual general meeting. This shift in governance comes at a pivotal moment for the Amsterdam-based chemical producer, as it navigates a major strategic overhaul and confronts substantial legal challenges.

Portfolio Streamlining Generates Cash

A key component of OCI's current strategy involves actively optimizing its asset portfolio. The company is progressing with the sale of OCI Ammonia Holding to Agrofert for 290 million euros. This transaction is slated for completion in the first half of the year, injecting significant capital as part of the broader corporate simplification.

Court Ruling Halts Merger Ambitions

However, another central strategic pillar—the proposed merger with Orascom Construction—has been forcibly paused. In January, an Amsterdam appeals court prohibited a shareholder vote on the plan. The ruling cited concerns over the rights of minority shareholders and identified potential conflicts of interest, given Sawiris's substantial involvement in both entities.

Despite receiving approval from Orascom Construction's shareholders, the merger remains blocked. OCI was compelled to remove the related agenda items from its extraordinary general meeting. A critical question now is whether Sawiris's planned transition to the supervisory board will sufficiently address the Dutch judiciary's concerns about his dominant influence to allow the deal to proceed.
