With no business combination secured within its designated timeframe, the entity is now proceeding with a full liquidation of its operations. This outcome triggers the return of capital held in trust to the company's shareholders.

Liquidation Process Initiated Following Failed Merger Search

This dissolution marks the conclusion of KnightSwan's objective to take a private company public via a SPAC merger. The board had previously acknowledged the failure of this plan in November 2023, at which point a non-binding letter of intent with a potential merger partner was also terminated. The company's structure included a standard provision for such an event: if a suitable target company is not identified within the specified period, the SPAC is wound down and the trust funds are distributed.

Investors will now receive a pro-rata repayment from the trust account. This mechanism prioritizes capital preservation for shareholders, though it simultaneously eliminates the opportunity for them to gain a stake in an operating business through this vehicle.
