Klöckner & Co Stock Hits Fresh Peak as Minority Investors Bet on Generous Exit
27.04.2026 - 06:12:59 | boerse-global.de
The rally in Klöckner & Co shares has defied the broader weakness gripping the steel sector, with the stock punching through to a three-year high as the market prices in a potentially lucrative payout for remaining minority holders. The Duisburg-based metals distributor closed Friday at €12.58, matching its 52-week peak and extending year-to-date gains to roughly 54%.
Behind the surge sits a fundamental shift in the company’s ownership. US industrial group Worthington Steel now controls nearly 59% of the voting rights and is pushing ahead with plans for a domination and profit transfer agreement. That structure typically triggers mandatory compensation payments to minority shareholders, and the current share price — well above the €11.00 per share that Worthington originally offered — suggests the market expects a far heftier exit price.
The absence of any significant profit-taking after such a rapid ascent points to institutional conviction. Large investors appear to be holding firm, betting that the long-term transformation of Klöckner into a specialised metal services provider will justify a premium valuation. With the stock trading comfortably above its 50-day moving average, the technical picture remains supportive.
Goldman Trims Its Stake
Among the institutional shuffling, Goldman Sachs has pared back its position. A recent voting rights disclosure shows the US investment bank now controls 7.40% of shares, down from just over 8% previously. Such adjustments are typical during consolidation phases, though the shrinking free float is amplifying price swings in both directions.

Operational Progress Adds to the Narrative
While the takeover story dominates sentiment, the underlying business has been delivering. Klöckner lifted adjusted EBITDA to €171 million last year, up from €136 million, on group revenue of roughly €6.4 billion. That improvement underpins management’s proposal for a €0.20 per share dividend, yielding around 1.6% at current levels.
The next major catalyst arrives on May 6, when the company publishes first-quarter results. Analysts are forecasting EBITDA in a range of €20 million to €60 million, with particular attention on operating margins in the core business and progress with the Nexigen sustainable product line. A result at the upper end of that spectrum would provide further chart support.
Key Dates in May
Two weeks after the quarterly release, on May 20, shareholders gather for the annual general meeting. The dividend vote is on the agenda, but the real focus will be on integration timelines. Investors expect management to deliver concrete details on the timetable for the domination agreement — and once Worthington lays out its roadmap, the next leg for Klöckner shares will become clearer.

Ahead of the AGM, on May 11, the company will also present at the Equity Forum spring conference, offering another platform to address investor questions about the strategic direction under its new majority owner.
