Graphite One Secures Funding and Expands Investor Outreach

Graphite One launches a strategic push with fresh capital, expanded US/Europe investor relations, and a planned TSXV warrant listing to advance its US graphite supply chain project.

Graphite One Inc. has initiated a multi-pronged strategy as March begins, combining fresh capital, enhanced market visibility, and strengthened local engagement. This coordinated effort comes at a pivotal time for the company's development plans.

Fresh Capital and Investor Relations Push

The company recently closed a significant financing round, raising gross proceeds of 30 million CAD. This was achieved through the placement of 17,142,000 units at a price of 1.75 CAD each. The transaction, which closed on February 18, 2026, was led by an agent consortium with BMO Capital Markets at the helm.

Concurrently, Graphite One is substantially increasing its investor relations budget across two key regions. In the United States, a new marketing agreement effective March 1, 2026 commences with an initial commitment of $250,000 USD, potentially extending to up to $250,000 USD per month. In Europe, its existing contract with Germany's MCS Market Communication Service GmbH has been extended for four months at a cost of up to 350,000 Euros per month. The company clarified that these services are not being compensated with securities and that, to management's knowledge, the service providers do not hold any Graphite One shares.

Warrant Listing Planned for 2026

A core component of the recent financing is the planned public listing of 20,002,000 warrants on the TSX Venture Exchange. These warrants, originating from the "best-efforts" offering, are expected to begin trading on or around March 3, 2026, pending final approval, under the symbol GPH.WT.A.

Each listed warrant will grant the holder the right to purchase one common share at an exercise price of 2.25 CAD for a period of 36 months from the financing's closing date. This move is designed to provide investors with an additional, leveraged instrument tied directly to the company's progress, while also potentially boosting overall liquidity for the security.

Project Strategy and Financial Context

Graphite One's operational focus is on building a vertically integrated, U.S.-based graphite supply chain. This model involves sourcing raw material from its Graphite Creek project in Alaska and processing it into battery-grade materials at a planned facility in Warren, Ohio. A potential recycling component at the Ohio site is also under consideration.

To bolster its community relations in Alaska, the company has appointed Lucille Carter as Vice President of Community Relations. Carter, formerly of the Bering Strait Native Corporation and with deep local ties to Nome and Teller, will be based in Anchorage.

Financially, the company's profile remains characteristic of a pre-production developer: it reports no revenues, sustained losses, and negative cash flow. These are offset by a very low debt level and a free-cash-flow profile that has improved relative to 2024.

The share price reflects a challenging market environment, having declined 41.70% over the past 30 days to a recent close of 0.79 Euros. Such conditions often intensify companies' efforts to secure capital and investor attention.

Looking Ahead: Permits and Further Financing

The next critical phase involves translating this structural work into concrete advancements in permitting and project financing. Graphite One has indicated that the U.S. Export-Import Bank has signaled support for up to 70% of the total capital costs required to reach production. Discussions with major North American investment banks are ongoing to secure the remaining portion.
