Graphite One has abruptly abandoned its planned production site in Trumbull County, Ohio, after infrastructure constraints threatened to derail the timeline for its US-based graphite supply chain. Insufficient power capacity forced management to secure an alternative location through a usage agreement with a subsidiary of Canadian National Railway, moving the facility closer to the Great Lakes shipping corridor. The improved multi-track rail connection is designed to safeguard transport of material from the Graphite Creek deposit in Alaska to the "Battery Belt" processing plant.

The strategic pivot sets the stage for a consequential shareholder meeting on June 26, 2026, where investors will vote on proposed equity compensation for executives. The board has already approved 968,016 restricted share units and 525,000 stock options under the omnibus plan for employees, directors, and consultants. The options carry an exercise price of C$1.13 per share, matching the TSX Venture Exchange closing price on May 15, 2026, vest in tranches over multiple anniversaries, and expire on May 19, 2031.

The compensation plans come against a backdrop of widening losses. Graphite One reported a net loss of US$3.03 million for the first quarter ended March 31, 2026, nearly double the US$1.56 million loss in the prior-year period. The stock closed at €0.74 on Friday, eking out a 0.81% daily gain but still down 36.68% year to date. At 51.05% below its 52-week high of €1.52, the shares remain well above the trough of €0.42, reflecting the intense volatility between project optimism and financing headwinds.

Should investors sell immediately? Or is it worth buying Graphite One?

Financing remains the critical lever. Graphite One holds non-binding letters of interest from the Export-Import Bank of the United States totalling US$2.07 billion for a fully US-based graphite supply chain. The commitment for Graphite Creek has been raised to US$670 million, while the Ohio plant carries a separate expression of interest for US$1.4 billion over a 15-year term. Formal applications are expected to be filed in 2026, and the company is discussing the remaining 30% funding gap with major banks.

The regulatory clock is also tightening. Graphite Creek, a proposed open-pit mine about 60 kilometres north of Nome, Alaska, was designated a FAST-41 project on June 2, 2025 — the first mining project in Alaska to land on the federal dashboard. The coordinated project plan allows 13.5 months for federal environmental reviews and permits, with a target deadline of September 29, 2026.

Management is focusing initial production capacity at 10,000 tonnes per year, targeting energy storage and fast-charging systems. Construction of Phase One is scheduled for completion by the fourth quarter of 2027. The quarterly earnings report due in late May will be closely watched for capital allocation details, particularly whether the Ohio site change has slowed the permitting pathway for the Alaska-to-Ohio route.

The next concrete milestones come fast: the AGM vote on June 26, followed by the EXIM financing submissions and the federal permitting deadline at the end of September. For a developer trying to stitch together a domestic graphite chain from mine to anode, those three events will determine whether the project moves closer to a binding financing commitment or remains stuck in planning limbo.
