A major financial institution has adjusted its position in Kloeckner & Co SE as the company progresses toward acquisition. Goldman Sachs has substantially raised its shareholding in the German metals distributor, bringing its total stake close to a notable threshold.

According to a recent voting rights notification, the U.S. investment bank now holds 9.48% of Kloeckner & Co's shares. This marks an increase from its previous holding of 8.31%. The position comprises a combination of direct voting rights, accounting for 5.21%, and financial instruments, representing 4.26%. These transactions were executed in March, just prior to the conclusion of the initial acceptance period for the takeover offer.

Worthington Steel Secures Majority Control

The move by Goldman Sachs comes as the prospective majority owner, Worthington Steel, has already achieved a key milestone. Following the close of the first acceptance period on March 26, the U.S.-based conglomerate successfully secured 58.8% of Kloeckner's equity. This figure surpasses the required minimum threshold of 57.5%. A subsequent statutory additional acceptance period is now underway for remaining shareholders.

The market reaction to the stake-building news was muted in the latest trading session. On the Xetra exchange, Kloeckner & Co shares closed at €12.18, registering a slight decline of 0.33%. Trading activity remained moderate with approximately 277,000 shares changing hands, while the price fluctuated within a narrow band between €12.10 and €12.24.

The definitive shareholder structure will be determined on April 14, 2026, when the second acceptance period concludes.
