Gerresheimer shares have staged a remarkable recovery over the past month, climbing more than 26% in 30 trading sessions to close at €27.54 on Friday. The rally comes despite a deepening accounting scandal that has wiped nearly 54% off the stock over twelve months, but a pair of parallel developments — a crucial creditor agreement and a multi-million-euro insider purchase — are shifting the narrative.

Creditors Hand the Company an Extension

In a vote of forbearance rather than strength, holders of Schuldschein loans totalling roughly €870 million approved a maturity extension with 96% support. The deal gives Gerresheimer until September 2026 to deliver a fully audited consolidated annual report, with key leverage covenants suspended for the interim period. Without that agreement, a wave of loan cancellations could have triggered a full-blown liquidity crisis. The reprieve is a stopgap, not a solution: it buys time, but urgency remains.

Insiders Put Their Money Where Their Mouth Is

While creditors were granting leeway, a vehicle linked to the supervisory board was buying heavily. AOC Gecko S.à r.l., associated with board member Klaus Röhrig, acquired 271,529 shares on May 20 at an average price of €28.25, for a total consideration of approximately €7.67 million. Such insider accumulation is widely interpreted by the market as a signal that those closest to the business view the current valuation as too low. The purchase price sits just above the stock’s 200-day moving average of €26.89, a level chartists consider constructive.

The Accounting Mess Beneath the Surface

The company’s core headache remains unresolved. Gerresheimer has acknowledged accounting errors for the 2024 and 2025 financial years, with an expected revenue correction of around €35 million for 2024 alone. More painfully, non-cash impairments of up to €240 million loom. An external forensic accounting firm is combing through the books, and under interim CEO Uwe Röhrhoff, the company aims to produce a clean audit by June 2026 at the earliest.

To address the balance sheet strain, management is pushing ahead with the sale of its US subsidiary Centor Inc., a medical packaging specialist. Analyst Views Diverge Wildly

With the stock at €27.54, the divergence in analyst expectations is extreme. JPMorgan sees the shares worth €46.00, implying substantial upside from current levels. At the opposite pole, Bankhaus Metzler slaps a €12.50 target — less than half the present price. Jefferies recently downgraded Gerresheimer from “Buy” to “Hold”, cutting its target to €26.80, while Berenberg values the equity at €20.00, citing opacity and integration risks from the Bormioli Pharma acquisition.

Technically, the next hurdle is the six-month high at €28.26. A clean break above that level would open the door to further gains, though support around €27.00 looks fragile given the lack of fundamentals.
