Gerresheimer AG has secured a crucial financial reprieve from its lenders, buying the embattled pharmaceutical packaging specialist time to execute a standalone turnaround. This comes as the company firmly rejected a takeover approach from US rival Silgan Holdings Inc., an offer that would have nearly doubled its current market value.

According to insider reports, Silgan proposed €41 per share for Gerresheimer. That price represents a premium of almost 100 percent over the company's recent market capitalization of approximately €869 million. Despite the lucrative bid, management has broken off talks, choosing to preserve independence and focus on internal repairs.

The cornerstone of that repair job is a sweeping agreement with creditors. An overwhelming majority—96 percent—of holders of the company's €870 million in Schuldschein loans approved an extension. They pushed the deadline for delivering the audited financial statements for fiscal 2025 back to the end of September 2026. Concurrently, banking partners have suspended key financial covenants related to leverage until the third quarter of 2026.

This breathing room is desperately needed. Gerresheimer remains mired in an accounting scandal involving significant irregularities. The company had previously booked revenue for goods that never left its factory, a violation of IFRS standards that led to revenue misstatements of €35 million. Germany's financial watchdog, BaFin, continues its investigation into the matter.

Should investors sell immediately? Or is it worth buying Gerresheimer?

Operationally, the business shows resilience. The group reported billion-euro revenues for the past year and is targeting sales of up to €2.4 billion for 2026, supported by a solid order book. As part of its transformation, Gerresheimer will close its Chicago Heights production site by the end of 2026, shifting capacity to existing plants in Italy and India.

A more immediate strategic priority is the divestment of its US subsidiary, Centor. The unit, specialized in pharmaceutical packaging, is currently valued at close to €300 million. Investment bank Morgan Stanley is running the sale process and is already in talks with a double-digit number of potential buyers. Management aims to finalize the transaction within the current year, using the proceeds to reduce debt and strengthen the balance sheet.

The market's reaction to these developments has been volatile yet positive in the short term. Gerresheimer shares surged nearly 25 percent over the week, closing at €21.40 on Friday. This rally was fueled by relief over the creditor deal.

However, the longer-term picture remains deeply troubled. The stock is still down almost 23 percent since the start of the year, and nearly 59 percent on a twelve-month basis. Analysts' average price target sits at €24.40, far below the rejected Silgan bid. The stock's implied volatility of nearly 110 percent underscores the persistent risk.

The path forward hinges on two critical deliverables: the successful sale of Centor and, more fundamentally, the presentation of the long-overdue audited financial statements. Management aims to have the audited report ready by June 2026. Until that milestone is reached, any credible valuation of the company or serious takeover speculation remains effectively blocked.
