Future Fuels has moved to establish a significant presence in Canada's uranium exploration sector through a definitive agreement to acquire Hatchet Uranium Corp. This strategic acquisition grants the company access to prospective exploration grounds within Saskatchewan's resource-rich Athabasca Basin.

Strategic Rationale and Asset Details

The transaction is designed to provide Future Fuels with geographical diversification within the uranium industry. The acquired portfolio consists of stakes in five distinct claim blocks, collectively spanning nearly 98,000 hectares in the Wollaston Lake region of northern Saskatchewan. Key projects within this package include the Hatchet Lake and Highway properties, both situated in a recognized uranium exploration district with active mining operations nearby.

Terms of the Agreement

Under the agreed terms, shareholders of Hatchet Uranium will receive 0.76 shares of Future Fuels for each Hatchet share they own. The same exchange ratio will apply to all outstanding warrants. Upon completion, Future Fuels is set to issue approximately 15 million new common shares and 1.1 million new warrants.

Currently a majority-owned subsidiary of ValOre Metals, Hatchet Uranium will be fully integrated and is expected to operate under the name "Future Fuals Athabasca Inc." following the deal's closure.

Conditions Precedent to Completion

Several conditions must be satisfied before the acquisition can be finalized. Approval from Hatchet Uranium's shareholders at a special meeting is required, alongside regulatory clearance from the TSX Venture Exchange. Furthermore, dissenting shareholders holding no more than 10% of the total shares may exercise their right of appraisal.

Financial conditions stipulate that, at closing, Hatchet Uranium must not have a working capital deficit exceeding $200,000 and must carry no long-term debt obligations.
