European Lithium's shares are hovering near their 12-month peak of A$0.49, but beneath the surface, a complex merger with Nasdaq-listed Critical Metals Corp is hitting a wall — and the obstacle is a multimillion-dollar liquidity shortfall.

The company admitted 154,000 new shares to trading on the Australian Securities Exchange on May 7, a routine conversion of existing financial instruments that barely registered with investors. The real action is elsewhere. European Lithium and Critical Metals have extended their exclusivity period yet again, even though both sides have completed their mutual due diligence. The deal, valued at roughly US$835 million, remains alive but far from sealed.

The A$24 Million Dilemma

The merger agreement carries a hard requirement: European Lithium must hold at least A$330 million in net liquidity at closing. As of the end of March, the balance sheet showed just A$306 million — a shortfall of A$24 million.

Here's the rub. The exclusivity pact prohibits European Lithium from taking on new debt or issuing fresh equity to plug the hole. Management is effectively boxed in, forced to find a contractually compliant solution to a problem that has dogged the deal from the outset. To make matters worse, the company launched a share buyback program on April 15 targeting up to 10 percent of issued capital, with each repurchased share cancelled — a move that further drains cash reserves.

Greenland's Rare Earth Prize

The strategic prize at stake is Tanbreez, a massive rare earth deposit in Greenland that ranks among the world's largest. European Lithium holds a 7.5 percent stake in the project, which is rich in heavy rare earths like terbium and dysprosium — critical inputs for electric motors and defense technology. China controls more than 80 percent of the global rare earth market, giving the project outsized geopolitical importance.

Under the proposed transaction, Critical Metals would consolidate 100 percent ownership of Tanbreez, simplifying the ownership structure and streamlining decision-making. The US Export-Import Bank has already signed a letter of intent for up to US$120 million in project financing. A pilot plant is expected to start operations this month, and the company plans to ship a 150-tonne rock sample to potential buyers in June.

The Share Swap Mechanics

European Lithium shareholders would receive 0.035 new Critical Metals shares for each European Lithium share they hold under the scheme of arrangement. The Australian company already owns roughly 34 percent of Critical Metals' outstanding shares, and that stake would be cancelled upon completion, limiting dilution for existing Critical Metals investors.

A court must still approve the plan, and shareholders are expected to vote in the third quarter of 2026. The transaction could close in the second half of that year — provided the cash gap is resolved.

Austrian Setback Adds Pressure

Meanwhile, European Lithium's Wolfsberg project in Carinthia, Austria, has hit a regulatory snag. Austria's Federal Administrative Court overturned a key environmental permit, forcing authorities to reassess the project's environmental impact under stricter criteria. The final investment decision has been pushed back to at least the end of 2026.

The mining license remains valid until early 2028, and the offtake agreement with BMW still stands. But the delay adds another layer of complexity to a company already juggling a merger, a cash crunch, and a Greenland prize that grows more tantalizing — and more urgent — with each passing month.
