The Italian energy giant Enel Spa has commenced formal arbitration proceedings against Waaree Energies Ltd., an Indian solar panel manufacturer. The dispute centers on the sale of Enel Green Power India, a transaction initially agreed upon in January 2025. Enel alleges that Waaree Energies breached the purchase agreement, leading to claims for damages and compensation for lost profits. The case has been filed with the International Court of Arbitration of the International Chamber of Commerce (ICC) in London.

Financial and Legal Implications for Enel

Enel contends that its counterparty's actions have resulted in significant financial losses. While the precise monetary impact on Enel's finances remains unquantified at this early stage, the arbitration underscores the complex legal risks inherent in cross-border infrastructure deals. Such risks can materialize long after a transaction's initial closing. The proceedings confirm that Enel's planned exit from the Indian market is not yet legally finalized. In response to the allegations, Waaree Energies has issued a firm rebuttal. In a stock exchange filing, the Indian company stated it is reviewing the claims with its legal advisors. Waaree Energies expressed its intention to defend its position vigorously and is also considering filing a counterclaim against the Italian utility.

Market Reaction Remains Positive

Despite the emerging legal conflict, Enel's share price has shown resilience. The stock is currently trading at €9.67, maintaining proximity to its 52-week high. Since the start of the year, Enel's equity has recorded an advance of approximately 7.3%, indicating that investors have so far been unmoved by the developing arbitration.
