However, the sector's focus is shifting from the company's Essen headquarters to regulatory decisions in Bonn, which will ultimately determine how much of its massive investment program translates into future earnings.
Operational Strength and Strategic Ambition
Financially, 2025 was a standout year. E.ON's adjusted EBITDA reached €9.8 billion, landing at the top end of its own guidance and marking a 9% increase over the previous year. The Energy Networks segment was the primary growth driver, contributing €7.7 billion—a 12% year-on-year rise. The scale of E.ON's infrastructure is underscored by its connection of approximately 70% of Germany's onshore wind capacity and nearly half of its photovoltaic installations, representing a total capacity of 110 gigawatts.
Reflecting this robust performance, the management and supervisory boards have proposed a dividend of 57 cents per share for the past year, a 4% increase from the 2024 payout. Looking further ahead, the group has outlined an ambitious €48 billion investment plan targeting 2030, with €40 billion earmarked specifically for the expansion, modernization, and digitalization of its distribution networks. Rising demand from electric mobility and data centers is a key catalyst for this infrastructure push.
Regulatory Headwinds Cloud Near-Term Guidance
Despite the record results, E.ON's outlook for 2026 is more cautious. The company forecasts its adjusted EBITDA will be between €9.4 billion and €9.6 billion, indicating a slight dip from the 2025 peak. This anticipated softening is attributed to temporary regulatory pressures, specifically a lack of clarity on the permitted rate of return on invested capital. Two upcoming rulings by the Federal Network Agency (Bundesnetzagentur) are critical: a decision on the operating cost adjustment factor at the end of March, and the final gas network regulation framework in November.

The company's long-term operational trajectory remains positive, with a target of €13 billion in adjusted EBITDA by 2030. Nevertheless, the achievable portion of this goal is heavily dependent on the return parameters set by German regulators.

The market's attention is now firmly fixed on the regulatory process.
