When DroneShield shareholders gather in Sydney on May 29, the meeting will be far from a routine check-in. The counter-drone specialist's new management team must convince investors it can navigate a regulatory probe while capitalizing on surging demand—a challenge that has already cost the stock roughly half its value from the October peak of €3.65.

The shares closed at €1.95 on Friday, down 10% on the week and trading with a relative strength index near 39—oversold territory. That technical weakness mirrors the governance overhang: Australia's corporate watchdog ASIC is scrutinizing market announcements made in November 2025, including a now-corrected US government contract package, as well as share sales by former chief executive Oleg Vornik and former chairman Peter James in the same period. Both executives have since left the company.

A New Team Under the Microscope

CEO Angus Bean, previously DroneShield's product chief, and incoming chairman Hamish McLennan—who led REA Group to a multi-billion-dollar market value—will face their first shareholder test. The agenda includes a vote on Bean's remuneration package, and the handling of the ASIC investigation is expected to dominate questions. Company representatives have stressed full cooperation with the regulator, but governance risks of this nature can deter institutional investors regardless of operational performance.

Yet the operational picture is strikingly strong. DroneShield generated customer revenue of A$77.4 million in the first quarter of 2026, a 360% year-on-year surge, while total recognized revenue stood at A$74.1 million—the second-best quarterly result in its history. Operating cash flow swung to positive A$24.1 million, extending a four-quarter streak of positive cash generation. The company's already committed annual revenue volume for 2026 stands at A$154.8 million.

Deep Pipeline and European Expansion

The sales pipeline encompasses 312 active projects valued at a combined A$2.2 billion, with roughly half of that potential concentrated in Europe. DroneShield has opened a new headquarters in Amsterdam to coordinate EU and NATO activities and launched counter-drone system production through a local manufacturing partner. CEO Bean is pushing to shift the business model toward recurring revenue, targeting 30% of total sales from such sources by 2030.

The valuation gap between the operational boom and the regulatory risk has split analyst opinion. Bell Potter rates the stock a buy with a A$4.80 price target, while Jefferies holds a "hold" rating at A$3.70.

Two milestones will shape the coming weeks: the May 29 annual general meeting, where board composition and governance reforms are likely to dominate, and the next formal quarterly report on June 3. Until then, the market will weigh operational strength against regulatory pressure—a balance that will determine whether the stock can claw back from its oversold depths.
