As Diginex accelerates a shift toward an AI-powered data and intelligence platform, the London-based RegTech firm finds itself juggling two high-stakes deadlines that could determine its future. The company has extended the long-stop date for its planned all-share acquisition of Resulticks to 30 June 2026, acknowledging that both sides need extra time to satisfy closing conditions. The move comes as the stock trades around $0.97, dangerously close to the Nasdaq minimum-bid requirement that must be met by 21 September 2026 to avoid delisting.
The transaction values Resulticks at approximately $1.5 billion, a striking figure given that Diginex itself generated just $2 million in revenue last year. Should the deal close, the target is expected to contribute roughly $150 million to annual sales and up to $50 million in operating profit. The tie-up would dramatically expand Diginex’s offering, adding real-time ESG decision-making tools and customer-interaction capabilities to its existing sustainability-data platform.

A 1-for-8 reverse stock split executed in late April provided only a temporary lift, and extreme volatility suggests investor confidence is fragile.
