The battle for Commerzbank has entered its most critical phase. UniCredit formally launched its all-share takeover offer on Tuesday, setting the stage for a high-stakes showdown that pits Milan's ambitions against Frankfurt's resistance. Shareholders have until June 16 to decide whether to tender their stock at a valuation that already looks out of step with where the market is trading.
Under the terms, Commerzbank investors would receive 0.485 UniCredit shares for each of their own — a package worth roughly 31 euros per Commerzbank share. Yet the stock closed Tuesday at 35.11 euros, up 3.11 percent on the day, suggesting the market expects a sweeter deal. The relative strength index has surged to nearly 89, a reading that typically signals an overheated market ripe for a pullback.
UniCredit enters the fray with considerable financial muscle. First-quarter net profit jumped 16 percent to 3.22 billion euros, and shareholders have already cleared the way for a multibillion-euro capital increase to fund the share swap. Chief Executive Andrea Orcel has made clear he sees the process as unstoppable.
Frankfurt Fires Back
Commerzbank is not going quietly. Vice Chairman Michael Kotzbauer has described UniCredit's plan as "destructive" for the bank's business model, pointing to the absence of any cash premium as a particular flaw. Labour unions are mobilising too — Verdi has warned that as many as 10,000 jobs in Germany could be at risk. The federal government, which still holds roughly 12 percent of Commerzbank, has also voiced opposition.

Operationally, the bank has delivered. Net fee income rose 7 percent, and return on equity has reached double digits. At a current share price of 34.05 euros — the level before Tuesday's jump — the dividend yield stood at just over 3 percent.
But the takeover drama has injected extreme volatility. The stock has lost about 7 percent since the start of the year, yet over the past 12 months it has gained more than 40 percent — a wild ride that underscores the event risk hanging over the name. Annualised volatility exceeds 45 percent, a level that makes the stock unsuitable for conservative portfolios.

The next few weeks will be decisive. Commerzbank's management presents its 2030 strategy on May 8. The acceptance period for UniCredit's offer runs until June 16. Between those dates, shareholders must decide whether to hold out for a higher bid, accept the current terms, or bet on the bank's standalone prospects.
