The battle for control of Commerzbank enters its most critical phase this week, with UniCredit poised to fire the starting gun on a formal takeover offer that could reshape European banking. The Italian lender’s chief executive Andrea Orcel has made clear there is no turning back, telling a newspaper interview that a complete withdrawal is off the table.

The opening salvo comes on Monday, when UniCredit shareholders gather for an extraordinary general meeting to approve a capital increase — the necessary legal groundwork for the bid. By Tuesday, the market expects Orcel to table the official offer, setting in motion a process that will culminate in a summer verdict on whether the Frankfurt-based lender retains its independence.

UniCredit’s initial exchange offer of 0.485 of its own shares for each Commerzbank share valued the German lender at roughly €35 billion in March. But Commerzbank’s stock has since climbed, leaving the proposal trailing the current market capitalisation. Orcel has left the door open to sweetening the terms.

Commerzbank’s management is fighting back with a two-pronged defence: operational results and shareholder rewards. On Friday, the bank releases its first-quarter figures alongside a detailed strategy update designed to prove the solo path is viable. The numbers need to be strong to silence sceptics who question whether the lender can thrive alone.

The board is also leaning heavily on capital returns. It has proposed a dividend of €1.10 per share for the past financial year — nearly double the prior year’s payout — and has already completed two billion-euro share buyback programmes. The stock market has rewarded that narrative. Commerzbank shares gained nearly 10 percent in April alone, closing the month at just over €35. The stock ended last week at €35.45, though technical indicators suggest the rally has pushed valuations into stretched territory, with the relative strength index pointing to an overheated market.

The German government, which still holds roughly 12 percent of Commerzbank, backs management’s stance. Berlin has stressed the bank’s systemic importance and wants a takeover premium that reflects fair value. The European Central Bank, however, has signalled sympathy for cross-border consolidation, with chief supervisor Claudia Buch publicly calling for greater integration.
