ClearOne has obtained a $1.75 million capital infusion from its largest shareholder, First Finance Ltd. The transaction, expected to be finalized today, provides crucial liquidity but comes with stringent conditions that substantially increase the investor's control over corporate operations.

Financing Terms and Immediate Impact

The funding is structured as a private placement. ClearOne is issuing 437,500 common shares at $4.00 per share. Additionally, the agreement includes two-year warrants for another 437,500 shares, exercisable at $5.00 each. Access to the full $1.75 million is not immediate. Only $500,000 is available upfront, with the remaining $1.25 million held in escrow.

A primary condition for releasing the escrowed funds is the relocation of the company’s legal domicile from Delaware to Nevada. This move must be completed before ClearOne can access the balance of the capital.

Governance Shift and Operational Restrictions

The agreement imposes significant limitations on management’s autonomy, marking a decisive power shift toward the major shareholder. ClearOne is now obligated to seek explicit approval from First Finance Ltd. for any new debt exceeding $10,000. Furthermore, the company’s leadership requires the investor’s consent for all other material transactions.

These strict covenants effectively grant First Finance Ltd. an active role in capital allocation and strategic direction. While the cash injection addresses short-term liquidity needs, it concurrently narrows the strategic flexibility for the communications hardware firm.
